T-Mobile Completes UScellular Acquisition: What Customers Need to Know

T-Mobile bought substantially all of UScellular’s wireless business, not the whole company. The deal closed in 2025, while customer and billing migrations continue through 2026.

T-Mobile completed its acquisition of substantially all of UScellular’s wireless business on August 1, 2025. It did not buy the entire company: UScellular’s remaining infrastructure business became Array Digital Infrastructure. The legal deal is closed, but customer accounts, billing, devices, branding and network operations are transitioning on separate schedules, with account migration targeted to continue through 2026.

What closed—and what did not

T-Mobile acquired UScellular’s wireless operations, customers, most retail stores, selected spectrum, and related sales, distribution and customer-care assets. It also secured tower-use rights and long-term leasing arrangements. UScellular’s infrastructure business remained separate and was renamed Array Digital Infrastructure. Array retained approximately 4,400 towers and a substantial portion of UScellular’s spectrum portfolio. T-Mobile’s closing announcement and the FCC’s post-closing description explain the split.

T-Mobile obtained long-term access to tower sites, including a minimum 15-year lease arrangement on approximately 2,000 towers, plus interim access to approximately 1,800 more, according to the FCC filing.

In short, “T-Mobile bought UScellular” is convenient shorthand, but it does not describe the full corporate transaction. UScellular’s wireless business moved to T-Mobile; the remaining infrastructure business operates as Array Digital Infrastructure.

Timeline: agreement, regulatory review and customer migration

  1. May 24, 2024: T-Mobile, UScellular and TDS announced the purchase agreement.
  2. July 10, 2025: The Justice Department said it would not seek to block the transaction after investigating it. Its statement also set out competition concerns.
  3. August 1, 2025: The acquisition of the wireless business closed.
  4. August 5, 2025: The approximately $1.7 billion debt-exchange component was expected to close, as described in the UScellular/TDS closing filing.
  5. 2026: Customer and billing conversions are proceeding in stages. T-Mobile’s support material gives early Q2 2026 as the start of migrations to its billing system and Q4 2026 as the target for completion; this is a target, not confirmation that every account has moved. How much did T-Mobile pay?

The commonly reported approximately $4.4 billion figure refers to the announced transaction value. At closing, UScellular reported approximately $4.3 billion after adjustments: about $2.6 billion in cash and approximately $1.7 billion in debt assumed through an exchange offer. Those figures describe different stages and accounting adjustments, not necessarily a contradiction. T-Mobile also announced separate Iowa transactions totaling approximately $175 million after adjustments; that amount is separate from the headline consideration for the wireless-business acquisition. What UScellular customers should expect

Being included in the acquisition does not mean an account has already been converted. T-Mobile is migrating customers in stages, and the official transition can involve a new billing platform, account structure or support channel. T-Mobile says it intends to map existing plans to plans with the same price and capabilities or equal or better value, and to carry promotional credits through the remainder of their terms. These are migration policies; they do not guarantee that every bill will look identical.

Plans, prices and promotions

A customer’s monthly plan price and promotional credits are intended to carry over under T-Mobile’s migration approach. A bill can still differ because of proration, a short billing cycle, account segmentation, taxes or fees, or a change in billing dates. Customers become subject to T-Mobile’s policies after conversion, which may differ from UScellular’s on late payments, suspensions, refunds and fees. Migration-specific plans may not be available to new T-Mobile customers.

Do not assume that opening a new T-Mobile account voluntarily will give you the same plan or treatment as waiting for the official migration. T-Mobile says customers generally cannot ask it to accelerate the scheduled conversion. A customer can initiate a separate port into a new T-Mobile account, but that is a different process and may change account treatment.

Phone numbers, phones and SIMs

Voice numbers generally remain unchanged. Most phones are expected to work on T-Mobile’s network, but some older or incompatible devices may need replacement, and some customers may need a new SIM or eSIM. Follow the instructions in an official migration notice rather than replacing equipment just in case. Some UScellular features may not carry over. T-Mobile’s support material identifies UScellular vanity-number functionality as an example of a feature it does not support. Seasonal-suspension arrangements and other specialized account features also deserve confirmation before an account converts.

Bills and account changes

During conversion, some customers may see prorated charges, short billing periods, temporary multiple accounts or bills, or a new billing-cycle date. Pending orders or account changes may delay migration, and T-Mobile’s support material says changes, additions, upgrades and pending orders may be restricted while an account is prepared for conversion. Save your UScellular bills and plan records so you can compare them with the first T-Mobile statement.

What to do before and after your migration

  1. Check for an official notice. Confirm whether T-Mobile has told you that your account is migrating and whether it supplied a date or required action.
  2. Inventory your equipment. Check phones, tablets, hotspots and IoT devices against any compatibility instructions in your notice. Do not buy a replacement unless T-Mobile’s guidance or your own needs call for one.
  3. Keep account records. Save recent bills, plan details, device-payment balances, promotion terms and relevant support communications.
  4. Do not cancel prematurely. If you are waiting for the official conversion, do not independently cancel UScellular service. Porting to a new account is a separate choice, not a way to guarantee the same migration plan.
  5. Review the first converted bill. Check the recurring plan charge, taxes and fees, device installments, promotion credits, line count, AutoPay status and billing dates against your records.
  6. Keep a paper trail for discrepancies. If a charge or credit looks wrong, contact the designated support channel with the relevant UScellular bill and T-Mobile statement before changing plans.

Home internet, business and IoT accounts have different risks

Home internet and fixed wireless

UScellular home-internet customers may receive a T-Mobile gateway, and UScellular service or equipment may be discontinued about 30 days after the account moves to T-Mobile. The replacement gateway is intended to work with the customer’s current rate plan. Keep the old equipment until the new gateway is installed and working; canceling or discarding equipment before activation can create an avoidable service interruption. Business, government and IoT

Business accounts are moving in groups, and T-Mobile says customers will receive communications before migration. Larger, complex and IoT accounts may require a more hands-on process rather than ordinary consumer conversion. Device compatibility, account segmentation, support routing, billing logins and specialized features can all matter. What changed on the network—and what remains a claim

The FCC’s transaction analysis says the acquired assets covered 198 of 734 Cellular Market Areas, representing approximately 10% of the U.S. population. T-Mobile says the acquisition is intended to expand rural coverage, 5G availability and capacity and to improve customer experience in former UScellular markets. Those are company-stated objectives, not independent nationwide performance results. Actual service depends on location, device and network deployment.

Acquiring spectrum does not mean every acquired band remains in use. T-Mobile’s migration support page says the 850 MHz spectrum acquired in the transaction was sold and turned down as of March 31, 2026. Spectrum can be sold, repurposed or switched off as a combined network is redesigned.

Why regulators allowed the transaction—and the trade-off

The Justice Department investigated the loss of UScellular as an independent wireless competitor, potential consumer benefits and the concentration of wireless spectrum. It decided not to seek an injunction, but its statement did not say consolidation presented no risk. The DOJ raised concern that the three largest carriers already control substantial spectrum and that further concentration could make it harder for a fourth national competitor to emerge. The possible benefits and costs can coexist. T-Mobile may bring more capital and network scale to rural markets, while consumers lose an independent regional carrier and some locally focused pricing or service options. Whether improved coverage and capacity outweigh reduced choice will depend on what customers experience in their markets and how competition develops.

What the acquisition means for customers deciding whether to switch

If your account has not migrated, compare the value and terms of waiting against the benefits of moving to another provider. First establish whether your device works on the relevant network, what happens to any device balance or promotional credit, and whether coverage is suitable at your home and work locations. A voluntary move to a new T-Mobile account may not preserve the migration-specific plan or account treatment T-Mobile intends for converted UScellular customers.

For a device issue, first check whether T-Mobile has specifically flagged your phone or SIM; most customers are not automatically required to buy a new phone. For a home-internet transition, activate the replacement gateway before giving up the existing service or equipment. Business, government and IoT customers should follow account-specific migration guidance because ordinary consumer advice may not fit their billing or device setup.
