Sysco’s proposed acquisition of Jetro Restaurant Depot could change how independent restaurants buy food and supplies, but it has not been shown to lower local food costs. Sysco says the deal could produce procurement and logistics efficiencies and help it offer lower prices to more customers. Those are future expectations, not observed savings for restaurants or diners. The latest retrieved SEC disclosure says the transaction remains subject to regulatory clearance and reports that the Federal Trade Commission issued a second request for information.
What Sysco agreed to buy—and what the $29.1 billion figure means
Sysco and Jetro Restaurant Depot announced a definitive agreement on March 30, 2026. Sysco described the transaction’s enterprise value as approximately $29.1 billion, calculated using Sysco’s March 27, 2026 closing share price of $81.80. That figure is not the cash payment alone: the announced consideration to Jetro Restaurant Depot equity holders includes $21.6 billion in cash, subject to customary adjustments, and 91.5 million Sysco shares. Sysco’s announcement sets out those terms.
Sysco described Restaurant Depot as operating 166 warehouse stores in 35 states and serving more than 725,000 independent restaurants and foodservice operators. It is a sizable network for smaller buyers who shop in person, alongside Sysco’s delivery-oriented business.
How the deal could affect restaurants’ purchasing costs
Potential procurement and logistics savings
Sysco forecasts approximately $250 million in annualized net cost synergies within three years after closing, primarily through product procurement and inbound supply-chain optimization. This is a company forecast—not a saving already realized, a guaranteed reduction in Restaurant Depot prices, or a promise that any particular restaurant will pay less.

Sysco Chair and CEO Kevin Hourican said, “The combined company will have increased purchasing efficiencies, enabling lower prices for more customers.” That is management’s stated expectation. Even if the combined company reduces its own purchasing or logistics costs, the announcement does not specify how much, if any, of those savings would reach individual buyers, when they might do so, or which products or locations would benefit.
More ways to buy, but not necessarily the same prices everywhere
Restaurant Depot’s cash-and-carry model lets operators pick up supplies themselves, including when they need to replenish quickly. Sysco emphasizes delivery and service, particularly for larger-volume customers. The companies have presented a combined network and broader assortment as potential advantages, but availability and value may differ by market, product, and buyer.

For an operator, the immediate practical distinction is fulfillment: self-pickup can meet an urgent need without waiting for a delivery, while distribution service can suit planned purchasing and larger orders. The transaction announcement does not establish that one route will consistently be cheaper, or that the deal will change a local buyer’s current options.
What this means for food prices paid by diners
There is no established before-and-after evidence in the cited disclosures showing that the proposed transaction has lowered wholesale prices paid by local restaurants or menu prices paid by diners. A forecast of company-wide cost synergies is not a measure of local ingredient prices, and a restaurant’s menu pricing can reflect costs and decisions beyond its supplier relationship. It would be premature to predict cheaper meals—or higher prices—from the announced deal alone.

Is the acquisition complete?
No. The latest retrieved SEC disclosure says both companies received an FTC request for additional information on May 27, 2026, and identifies regulatory clearance as a condition to closing. It explains that the HSR waiting period extends until 30 days after substantial compliance unless the FTC ends it earlier. On that disclosed status, the transaction is proposed and pending review, not completed. The regulatory process can change, so the status should be checked against a newer filing before relying on it.

- Include delivery, pickup time, minimum orders, and the value of service when comparing purchasing options, not just the listed item price.
