Sun Country CEO Jude Bricker said the airline should look for combinations that could make it a stronger competitor and give customers more choice. In January 2026, Sun Country agreed to be acquired by Allegiant; the Associated Press reported that the acquisition closed on May 13, 2026. Bricker’s earlier comments show openness to strategic combinations, but do not establish that Sun Country pursued any particular earlier target.
What Sun Country said about merging
In a January 12, 2026 joint investor presentation filed with the SEC, Sun Country CEO Jude Bricker said: “Many of you know that I’m outspoken in my belief that we should be looking for opportunities that would make Sun Country a stronger competitor and enable us to offer even more choice to our customers.” He said the airline had considered different opportunities over the years and that the Allegiant combination made the most sense given the companies’ value commitments. The presentation describes a general strategic openness, not a disclosed pursuit of a specific earlier merger partner.
What the Allegiant deal was worth
Under the announced cash-and-stock terms, each Sun Country share was to convert into 0.1557 shares of Allegiant common stock plus $4.10 in cash. The companies calculated a value of $18.89 per Sun Country share using the January 9, 2026 closing prices, a 19.8% premium to Sun Country’s $15.77 closing price that day. The announcement put Sun Country’s fully diluted equity value at $1.1 billion and the transaction value at $1.5 billion. These are announcement-date reference figures, not current market values. The companies’ announcement contains the stated terms.

The DOJ review milestone and DOT interim exemption were not the closing itself. AP reported the completed transaction on May 13.

What ownership and leadership were announced
The announced structure gave Allegiant shareholders approximately 67% ownership of the combined company and Sun Country shareholders approximately 33%. The combined company was to retain the Allegiant name, be headquartered in Las Vegas, and maintain a significant presence in Minneapolis–St. Paul. Greg Anderson was named CEO, Robert Neal President and CFO, and Bricker was to join the board and advise Anderson during the transition. The joint investor presentation sets out the announced leadership and ownership arrangements.
Why the airlines said they fit together
The companies characterized both businesses as leisure-focused airlines with flexible capacity models and diversified operations spanning scheduled passenger service, charter, and cargo. Their transaction announcement described the following combined scale figures as of 2026:

These were figures in the companies’ transaction announcement, not independently audited post-close results. The announcement also framed the airlines’ networks and operations as complementary.
What Allegiant and Sun Country expected customers to gain
The companies said the combination could expand leisure-network reach, add frequency to popular destinations from underserved origin cities, preserve affordable fares while increasing choice, and create a larger loyalty program. They also pointed to potential improvements from coordinating schedules, fleets, and operations. These were expected benefits, not evidence that fares, routes, loyalty terms, or service had changed after closing.

The companies projected $140 million in annual synergies by the third year after closing and said they expected the deal to be accretive to earnings per share in the first post-close year. Both were forward-looking estimates in the transaction announcement, not reported results. The announcement gives the projections and the companies’ rationale.

The transaction establishes a change in ownership, and the April interim exemption described a period in which Allegiant and Sun Country could remain separate carriers under common ownership. The materials cited here do not establish later changes to routes, schedules, fares, loyalty programs, or customer service, nor do they document the later status of the single operating certificate process or measured integration results. The announced Minneapolis–St. Paul presence is not, by itself, proof of any particular service level or route commitment.
