Steve Mnuchin’s TikTok Plan: Rebuild the Algorithm or Buy the App Without It?

Steve Mnuchin proposed buying TikTok’s U.S. operation and rebuilding its recommendation system without ByteDance’s algorithm. The idea faced technical, legal, financing and geopolitical hurdles—and later reported plans took a different route.

In 2024, former Treasury Secretary Steve Mnuchin said he was exploring a purchase of TikTok’s U.S. operation that would leave ByteDance’s proprietary recommendation algorithm behind. His idea was to rebuild the technology under U.S. leadership. That was a proposal, not a completed or publicly documented deal—and it was riskier than the phrase “rebuild the algorithm” suggests. TikTok’s recommendation system is a central part of its value, and replacing it would mean rebuilding not just software but a learning system shaped by data, experimentation, creators, moderation and advertising.

What did Mnuchin actually propose?

Mnuchin proposed buying TikTok’s U.S. operation without buying ByteDance’s original recommendation algorithm. He said the technology could be rebuilt under U.S. leadership and disconnected from ByteDance. He also said he was assembling an investor group and had spoken with technology companies about the effort. Those comments described an idea under consideration; they did not establish that he had financing secured, a binding offer, access to TikTok’s technology or government approval. Mnuchin’s May 2024 interview and a report on his proposal document the distinction between his stated plan and a completed transaction.

“Buy TikTok” could mean acquiring a bundle of assets and relationships: the U.S. user base, brand, app, creator network, advertising relationships, moderation operations and distribution infrastructure. Leaving ByteDance’s algorithm out would mean the buyer did not simply inherit the recommendation system that had been shaping users’ feeds. Mnuchin’s concept was to build a replacement and separate the new operation from ByteDance.

Why was the algorithm the deal’s central issue?

TikTok is more than a catalog of short videos. Its personalized For You feed sorts and distributes content according to signals about users and videos. The Congressional Research Service describes the recommendation system as a core mechanism for selecting content considered relevant to individual users. CRS’s TikTok FAQ explains the system’s role.

That makes the recommender commercially important: it can influence how long users stay, whether they return, how quickly unfamiliar creators find an audience, and how much advertising a service can sell. It also helps distinguish TikTok from competitors such as Instagram Reels and YouTube Shorts. The algorithm is not the only valuable asset—users, creators, brand recognition, app design, moderation systems, music and rights arrangements, ad relationships and operating capabilities matter too—but losing the existing recommendation system would put the performance of the whole business in doubt.

“The algorithm” is not one transferable thing

A recommendation system is better understood as a stack of interdependent components than as a single file. Source code is only one part. Models, model weights, training data, data pipelines, experimentation history, ranking rules, moderation signals, computing infrastructure and the teams that operate and improve the system can all affect its performance. A buyer could possess some components without having the full capability to reproduce the service’s results.

Could a buyer build a replacement?

Building a recommendation system is technically plausible; duplicating TikTok’s existing performance is a different, unproven proposition. A new U.S. team might train models on data it is legally allowed to use, collect new engagement signals, use content and metadata, incorporate moderation labels, and run experiments to improve rankings. It could develop its own infrastructure and models over time.

But a fresh system would not automatically inherit ByteDance’s years of user behavior, experimentation, operational knowledge or accumulated ability to learn from activity across markets. The new service could have an especially difficult cold start: it would need to make useful recommendations before it had much independent evidence about what each user wanted. Whether it could match TikTok’s personalization and learning speed is uncertain; the public proposal did not provide a technical plan or performance evidence establishing that it could. Later reporting about plans to retrain or recreate a U.S. version likewise does not prove that a from-scratch system would perform equivalently. Bloomberg Law’s report on the later algorithm arrangements describes a different approach, not a test of Mnuchin’s original idea.

What would a standalone U.S. recommender need to get right?

  • Data rights and separation: Identify what user-interaction data and other information can legally be used, and demonstrate that the new operation is not relying on unauthorized access or continuing ByteDance control.
  • Feed quality: Learn users’ preferences quickly enough to avoid a generic or repetitive feed, while giving new and smaller creators a fair chance to be discovered.
  • Safety and moderation: Prevent ranking systems optimized for engagement from amplifying harmful or manipulative material, and maintain effective moderation processes.
  • Independent operations: Run the recommendation service, data stores, APIs, software updates and supporting infrastructure without hidden or material ByteDance dependencies.
  • Commercial continuity: Retain creators and advertisers, preserve reliable targeting and measurement, and fund the engineering, cloud infrastructure, security reviews and compliance work needed to operate the platform.
  • Auditable governance: Give regulators and users meaningful grounds to assess who can access data, change ranking systems and influence operations.

These are not separate from the algorithm question. A weaker feed could reduce user engagement; declining engagement could make the platform less attractive to creators and advertisers, putting pressure on the business that would have to finance the rebuild.

Why couldn’t ByteDance simply transfer the technology?

China’s export-control regime, updated in 2020 to cover certain technologies including personalized recommendation technology, complicated any plan to transfer TikTok’s recommendation system to a foreign buyer. That made an outright transfer politically and legally difficult; it did not establish a universal rule that every conceivable deal structure was automatically prohibited. The legal effect would depend on which technology moved, the transaction’s structure and the entities involved, as well as any required Chinese approvals. The Washington Post’s 2024 account of Mnuchin’s proposal described the export restrictions as a major obstacle.

Possible structures could therefore look quite different: sell the U.S. business but leave the original system behind; license or lease technology; transfer a copy under conditions; or build a replacement. Each route raises different questions about what technology is being transferred, who controls it, what approvals are needed and whether the result is genuinely independent. A rebuild might avoid a direct sale of the original algorithm, but it would not by itself settle every question about data, operational links or regulatory compliance.

What did U.S. law require?

The Protecting Americans from Foreign Adversary Controlled Applications Act required a “qualified divestiture” for TikTok to continue being distributed and maintained in the United States. The issue was not only who owned a U.S. corporate entity: the law also addressed foreign control and operational relationships. The Supreme Court rejected TikTok’s constitutional challenge on January 17, 2025, according to the Congressional Research Service. The law’s effective date for covered applications was January 19, 2025, subject to subsequent executive actions and enforcement developments. For a buyer, that meant a U.S. address for user data or a nominal change in ownership would not necessarily be enough. Control over the app, its recommendation system and continuing operational connections with ByteDance could all matter. A replacement algorithm might support a stronger separation, but a transaction’s legal status would turn on its full structure—not that feature alone.

Why was Mnuchin a prospective buyer?

Mnuchin served as Treasury secretary during Donald Trump’s first administration and was involved in the U.S. response to ByteDance’s 2017 acquisition of Musical.ly, which became TikTok. In August 2020, Treasury described presidential action concerning ByteDance’s acquisition and TikTok’s U.S. business on national-security grounds. Treasury’s statement provides that background.

His former role gave him familiarity with the national-security investment review process and made him a recognizable participant in the earlier TikTok dispute. It did not demonstrate that a purchase was financed or that any government agency had endorsed his plan.

Could the purchase have made financial sense without the original algorithm?

Mnuchin said he was putting together an investor group, but public reporting did not establish a finalized consortium or completed financing. The scale of the potential purchase was itself a challenge: a buyer would need capital not only for the acquisition but also for technology redevelopment, operations and the risk of losing users or advertisers during a transition. The Associated Press reported on the financing challenge surrounding a possible sale.

Without confidence in the existing feed, investors would be valuing a large audience and recognizable business with uncertain future engagement—not simply buying TikTok as it operated. That could justify a lower price than an equivalent business with its proven recommender intact, but the buyer would still face substantial costs and execution risk. The service would retain valuable assets; it would not automatically be worthless. Its eventual value would depend partly on whether users and creators stayed and whether advertisers trusted the replacement system.

The two broad paths had different risks

These are broad trade-offs, not the terms of Mnuchin’s proposal or a definitive description of a later transaction. In either case, the purchase price would need to account for regulatory uncertainty, independent operations, security and compliance costs, and the possibility that the feed’s performance changed.

How did later TikTok plans differ from Mnuchin’s idea?

Mnuchin’s 2024 concept was to buy the U.S. operation and rebuild the technology without ByteDance’s original algorithm. Later discussions, as reported, explored a more complicated U.S.-controlled arrangement in which an algorithm copy or related technology could be secured, overseen or retrained rather than simply discarded. Bloomberg Law reported Oracle’s proposed role in securing or recreating a U.S. version. In January 2026, the Associated Press reported that TikTok had finalized a new American entity. Bloomberg Law’s report and AP’s account of the entity describe reported developments, not a complete public technical specification of the final system.

That distinction matters. A U.S.-controlled structure involving a copy, oversight or retraining is not the same as rebuilding from scratch with no ByteDance-derived algorithm. Public reporting does not, on its own, establish every detail of what code, model components, data or operational rights the final arrangement includes, or prove that all ByteDance involvement ended. The later developments should therefore not be presented as the implementation of Mnuchin’s original proposal.

What the proposal ultimately shows

Mnuchin identified the central bottleneck: a TikTok sale without ByteDance’s recommendation system would not preserve the business unchanged. Engineers could build another recommender, but the commercial test would be whether it could learn and rank effectively while supporting creators, moderation and advertising—and whether the ownership and operating structure met U.S. requirements without running afoul of Chinese controls. His 2024 idea was a high-risk answer to that combined problem, not proof that TikTok’s most valuable technology could be replaced quickly or cheaply.
