A January 1, 2025 TechCrunch follow-up, citing CNBC, later said the December sale occurred at that valuation; neither account provides the complete final terms.
What was the reported SpaceX tender offer?
TechCrunch reported on December 3, 2024, that SpaceX was in discussions about a tender offer in which employees could sell shares to selected investors. TechCrunch said the company regularly held such offers, typically twice a year; that was the outlet’s description of past practice, not a guaranteed schedule or a promise that every employee could sell all their shares.
The report said the conversations were ongoing and the final price could change. TechCrunch also reported that SpaceX did not respond to its request for comment. Those statements describe TechCrunch’s reporting, which attributed the offer information to Bloomberg sources familiar with it; they are not SpaceX statements.
Did SpaceX complete the $350 billion offer?
A January 1, 2025 TechCrunch follow-up, citing CNBC, described the December 2024 sale as having occurred at a $350 billion valuation. That later account offers retrospective context, but it is not a primary SpaceX filing and does not supply a complete term sheet. The December 3 article’s uncertainty about the discussions should therefore be distinguished from the later report of the completed sale.

What did the $350 billion valuation mean?
The figure was the reported valuation implied by a private share transaction. It was not $350 billion in cash raised by SpaceX, a quoted price available to the public, or proof that every share class had the same value. Private transactions can involve specific securities and terms; the available accounts do not establish the December sale’s exact price per share, number of shares sold, employee eligibility, or full terms.
A tender offer of this kind is a secondary sale: existing shareholders sell shares to buyers, and proceeds go to the sellers. In a primary fundraising round, the company issues shares and receives the proceeds. Those are different routes for shares and money to change hands.

Share classes may also carry different rights. A separate TechCrunch account discussing SpaceX documents from May 2022 described differences between common and preferred shares, including dividend and liquidation-preference rights. Those older documents do not establish the share classes or rights in the December 2024 sale.
