SpaceX’s IPO is no longer a possibility: its Class A shares began trading on Nasdaq on June 12, 2026, under ticker SPCX, and the company said the offering closed on June 15. Before the listing, employees and other holders had access to private-market routes to liquidity, but those transactions were not the same as owning publicly traded shares. The distinction matters for anyone asking whether SpaceX’s path will open the door to more IPOs—or whether private-company secondaries can provide a practical alternative while companies stay private.
What happened to the SpaceX IPO?
The headline’s original “could” referred to a possible 2026 IPO discussed in a TechCrunch interview published January 30, 2026. That forecast became history when SpaceX listed its Class A common stock on the Nasdaq Global Select Market and Nasdaq Texas under the ticker SPCX on June 12. The company announced that the offering closed on June 15, 2026.
SpaceX said it issued 638,888,888 shares in the IPO and received approximately $85.7 billion in gross proceeds. Its initial pricing announcement set a $135-per-share IPO price for 555,555,555 shares; the closing announcement confirmed issuance of additional over-allotment shares, bringing the total issued to 638,888,888. These are offering figures from SpaceX Investor Relations, not a statement of the stock’s current trading price or the company’s current market value.
How did SpaceX-related secondaries work before the listing?
In the January 2026 TechCrunch interview, Greg Martin, founder and managing director of Rainmaker Securities, described recurring employee tender offers and a market in SPV interests related to SpaceX. His account is a dated description from a participant in private-share transactions, not a comprehensive audit of all transactions or a description of public trading after the IPO.

“So we’re really pushing companies to actually open up your private secondary capability because it’s a great way to develop price discovery well in advance of the IPO, to start getting people attached to your business, to open yourself up to a broader investor base,” Martin said. That is an industry participant’s view of potential benefits, not regulatory guidance or proof that a secondary market creates a reliable public-market price.
Company-organized tender offer
A tender offer gives eligible holders an opportunity to sell under terms set for that offer. It is not necessarily open to every holder or buyer, and it does not mean that anyone can sell shares at any time. Eligibility, size, price, timing, and other terms depend on the particular offer.

Direct secondary transfer
In a direct transfer, ownership of shares changes hands. The company’s transfer controls and applicable securities restrictions can matter, so a prospective buyer should establish whether the transfer is permitted and what approval is required rather than assume that an agreement between buyer and seller is enough.
SPV interest
An SPV, or special purpose vehicle, can own company shares while investors buy interests in the vehicle. In that arrangement, the investor receives the economic exposure conveyed by the SPV interest; the investor does not necessarily become a direct shareholder recorded on the issuer’s cap table. Martin said SPV interests accounted for much of the SpaceX-related secondary activity at the time of the interview. That does not describe the ownership or trading structure of SPCX shares after the listing.

Why a secondary quote is not the same as liquid public shares
The SEC explains that private-company securities are often illiquid and may be resold only if the resale is registered or qualifies for an exemption. Public-offering terms may also impose lockups that delay sales. As a result, an indicated private-market price is not necessarily a price at which a holder can complete a sale, or a broadly available market price supported by many buyers and sellers.
Liquidity has more than one dimension: whether a seller is legally permitted to transfer an asset, whether a buyer is available, what information supports the price, and when a transaction can settle. An IPO changes the trading venue and public-market access, but it does not erase the restrictions that may apply to particular holders or shares. Check the terms governing the specific security and transaction; do not infer sale eligibility from a company’s listing alone.

How to compare private-market liquidity routes
The label “secondary” covers arrangements with different legal ownership, controls, costs, and exit possibilities. The following comparison is a framework, not a claim that all issuers or platforms use the same rules.
| Route | What the buyer may own | Control and price formation | Questions to resolve |
|---|---|---|---|
| Company-organized tender | Shares or other eligible securities sold by holders under the offer’s terms. | The offer defines who may participate and its terms; the transaction is not a continuously available market quote. | Who is eligible? What security and quantity are covered? What are the price, deadlines, fees, and settlement terms? |
| Direct secondary transfer | Shares transferred directly, if the transfer is permitted and completed. | Price is privately negotiated; issuer transfer controls and applicable resale restrictions may apply. | Is issuer approval required? What information is available? Can the transfer qualify legally, and how will it settle? |
| SPV interest | An interest in a vehicle that owns shares, rather than necessarily direct shares in the issuer. | The vehicle holds the underlying shares; vehicle terms and costs affect the investor’s exposure and ability to exit. | What rights does the interest confer? What fees apply? Who controls the vehicle, and how can an investor transfer or redeem the interest? |
Martin specifically identified information access as a due-diligence challenge. Before relying on a quoted valuation, find out what issuer information is actually available and whether the price reflects a completed transaction or only an indication. Review the governing documents for voting rights, transfer limits, fees, and other terms; the word “SPV” alone does not establish what rights an investor receives.

What do the 2025 figures say about secondaries and IPOs?
Nasdaq Private Market’s 2026 outlook reported $35 billion in tender transactions in 2025 and cited $45 billion in IPOs for 2025, attributing the IPO figure to Bloomberg. These are historical estimates reported in that outlook, not totals for 2026 or proof that private-company secondaries are universally available.
The same outlook reported activity on Nasdaq Private Market’s own platform: $372 million in settled block trades across 12 issuers in 2024, compared with $673 million across 31 issuers in 2025. Those figures describe the platform’s closed trades and issuer count, not the size of the entire secondary market. They should not be combined with the report’s broader tender or IPO estimates as though they measured the same activity.
Does SpaceX’s listing mean other companies will follow?
SpaceX’s completed IPO shows that a very large private company can move to a public listing; it does not, by itself, establish that other companies will list soon or that private-market liquidity will disappear. Nasdaq Private Market’s outlook named SpaceX among potential IPO candidates, but that classification became stale once SpaceX listed in June 2026.
Whether the IPO “opens the floodgates” is therefore a thesis to test against later offerings and market data, not a conclusion established by SpaceX’s transaction. The 2025 figures show reported tender and IPO activity, while the TechCrunch interview describes pre-IPO ways some SpaceX holders sought liquidity. Neither settles how many other companies will list, how much their shares will trade, or whether private secondary transactions will remain available to particular holders.
