South Korean Prosecutors Sought 5 Years for Samsung Chairman Jay Lee. He Was Later Acquitted.

Prosecutors’ 2024 request for a five-year sentence for Samsung chairman Jay Lee was not a conviction. He was later acquitted in the merger case, and South Korea’s Supreme Court upheld that result in 2025.

South Korean prosecutors requested a five-year prison sentence and a 500 million won fine for Samsung Electronics chairman Jay Y. Lee on November 25, 2024. The request was made during an appeal in the case involving Samsung’s 2015 merger of Samsung C&T and Cheil Industries. It was not a conviction or a sentence. The Seoul High Court later acquitted Lee, and South Korea’s Supreme Court upheld that acquittal in 2025.

What prosecutors requested

At the close of their appeal arguments before the Seoul High Court on November 25, 2024, prosecutors sought:

  • Five years in prison for Lee; and
  • A 500 million won fine, reported at the time as approximately $375,000, depending on the exchange rate.

The request was a recommendation by prosecutors. It did not mean that Lee had been found guilty or that he had received a five-year sentence. The court’s ruling was still pending when the request was made. TechCrunch reported the original request and its procedural context.

Final status: Lee was acquitted by the Seoul High Court on February 3, 2025. The Supreme Court later upheld that acquittal, ending the merger-related criminal case. Lee is not serving a prison term in this case.

What the case was about

The criminal case concerned the 2015 merger of two Samsung affiliates:

  • Samsung C&T, a construction and trading company that held a significant stake in Samsung Electronics; and
  • Cheil Industries, in which the Lee family had a stronger ownership position.

The transaction was valued at about $8 billion. Prosecutors alleged that the merger’s structure and exchange ratio favored Lee’s succession plans and increased his effective control over Samsung Electronics, while disadvantaging Samsung C&T’s minority shareholders.

Those were the prosecution’s allegations and theory of the case—not findings that Lee had been criminally convicted. Lee denied wrongdoing, and his defense argued that the merger followed normal corporate procedures and that prosecutors had not proved deliberate investor harm.

The charges included alleged stock-price manipulation or unfair trading, accounting fraud and violations of South Korea’s Capital Markets Act. Lee and 13 former Samsung executives were indicted in September 2020.

Why Samsung Biologics mattered

Samsung Biologics, an affiliate of Cheil Industries, was central to the prosecution’s accounting theory. Prosecutors alleged that the company’s accounting treatment increased the apparent value of Cheil Industries’ stake and helped support the merger structure. Reports described an alleged overstatement of assets exceeding 4 trillion won, or roughly $3 billion.

This allegation should not be confused with a criminal finding that Lee was guilty. The courts ultimately concluded that prosecutors had not proved the charges against him beyond the required legal standard. The Associated Press summarized the accounting and market-manipulation allegations.

Why the merger mattered to Lee’s succession

Lee became Samsung’s de facto leader after his father, Lee Kun-hee, suffered a heart attack in 2014. The Lee family’s ownership relationships meant that the merger had implications for control of Samsung Electronics, Samsung’s flagship company.

Prosecutors argued that combining Samsung C&T with Cheil Industries would strengthen Lee’s position in the wider Samsung group. That succession context is why the case attracted attention beyond the alleged financial violations. It also placed South Korea’s family-controlled chaebol system, corporate accountability rules and minority-shareholder protections under scrutiny.

It is more accurate to say that prosecutors alleged the merger was designed to benefit Lee’s succession than to state as fact that the transaction was created for that purpose. The courts did not convict him on that theory.

  2. September 2020: Lee and 13 former Samsung executives were indicted in the merger-related case.

  4. 2024: Prosecutors appealed the acquittal.
  5. November 25, 2024: Prosecutors sought five years in prison and a 500 million won fine during the appeal.
  6. February 3, 2025: The Seoul High Court upheld Lee’s acquittal.
  7. Later in 2025: The Supreme Court upheld the acquittal, ending the case.

What the ruling means for investors and shareholders

The acquittal resolved Lee’s criminal liability in this merger case; it did not erase the broader corporate-governance questions raised by the transaction.

The dispute highlighted several issues relevant to investors:

  • How family-controlled groups structure succession transactions;
  • Whether merger exchange ratios fairly value each company;
  • How minority shareholders can challenge transactions they believe dilute their interests;
  • How accounting judgments affect merger valuations; and
  • How South Korean authorities treat corporate leaders and chaebol governance.

The case should not be read as a ruling that every succession-related merger is unlawful, nor as proof that the prosecution’s accounting allegations were established against Lee. It shows instead that prosecutors’ theories must still be proved in court.

A separate dispute involving activist investor Elliott Investment Management also concerned the Samsung merger and the role of South Korea’s National Pension Service. South Korea was ordered to pay Elliott about $108.5 million in 2023, but that arbitration dispute was separate from Lee’s criminal liability and does not establish that he committed the charged offenses.

Do not confuse this case with Lee’s earlier prison sentence

Lee’s earlier imprisonment involved a different case: the bribery scandal connected to former South Korean President Park Geun-hye.

He was sentenced to five years in prison in 2017, served about 18 months, was released on parole in 2021 and received a presidential pardon in 2022. That sentence was not connected to the 2015 Samsung C&T–Cheil Industries merger case. The Associated Press distinguishes the earlier bribery case from the merger prosecution.

The bottom line

The November 2024 headline described what prosecutors sought, not what Lee received. They requested five years in prison and a 500 million won fine in an appeal over Samsung’s 2015 merger. Lee was later acquitted by the Seoul High Court, and the Supreme Court upheld that acquittal in 2025. His earlier five-year prison term came from a separate bribery conviction.
