Yes. SolarWinds’ sale to Turn/River Capital closed on April 16, 2025. The company became privately held, and its common stock stopped trading on the New York Stock Exchange. The $4.4 billion figure was the announced transaction value; the offer to shareholders was $18.50 per share in cash.

Who bought SolarWinds?

SolarWinds agreed to be acquired by Turn/River Capital, through affiliated merger entities. The company announced the agreement on February 7, 2025, and confirmed the closing on April 16, 2025. SolarWinds’ announcement and its SEC-filed closing release record those terms and the completed transaction.

Thoma Bravo and Silver Lake were not the buyers in this deal. Funds associated with those firms were existing principal shareholders, together holding approximately 65% of SolarWinds’ outstanding shares. They gave written consent approving the transaction, so no further shareholder approval was required, according to the company’s February 7, 2025 Form 8-K.

What did the deal offer shareholders?

SolarWinds announced an all-cash offer of $18.50 per share and described the transaction value as approximately $4.4 billion. The $4.4 billion figure is the company’s stated transaction value, not a per-share payout or a figure to relabel as equity value.

SolarWinds said the $18.50 offer represented an approximately 35% premium to the volume-weighted average closing price over the 90 trading days ending February 6, 2025. That comparison uses the specific 90-trading-day period stated by the company; it is not a premium calculated against only the previous day’s closing price. See the company’s deal announcement.

When did SolarWinds become private?

The agreement was announced on February 7, 2025. At that time, SolarWinds expected the transaction to close in the second quarter, subject to regulatory clearances and customary closing conditions. It ultimately closed on April 16, 2025. At closing, SolarWinds said it became privately held under Turn/River’s ownership and that its common stock ceased trading on the NYSE.

CEO Sudhakar Ramakrishna wrote on April 16, 2025: “I am happy to announce that the all-cash transaction, valued at $4.4 billion, is now finalized.” The statement appeared in his closing-day post.

What does going private mean for investors?

For public-market investors, the immediate change was that SolarWinds common stock was no longer listed on the NYSE after the acquisition closed. The public company’s shareholders were offered cash consideration under the merger terms rather than continuing to hold publicly traded SolarWinds shares. The cited transaction materials establish the deal price and closing status; they do not establish subsequent ownership changes, company performance, or product-roadmap decisions.
