SoftBank Group agreed on October 8, 2025, to acquire ABB’s Robotics business for an enterprise value of $5.375 billion. The transaction is still pending, subject to regulatory approvals and other closing conditions. The latest official materials available through August 18, 2026, expected completion in the second half of 2026.
The deal would give SoftBank control of an industrial-robotics operation with approximately 7,000 employees, more than 500,000 cumulative robot shipments and operations serving customers in more than 50 countries. SoftBank says it wants to combine those capabilities with its artificial-intelligence and robotics investments as part of a broader “Physical AI” strategy.

What SoftBank is buying
SoftBank is not buying ABB Group, its electrification business or all of its automation operations. The agreement covers ABB’s Robotics business—the development, manufacture and sale of industrial robots.

ABB’s separate Machine Automation division is not included. ABB moved that business into its broader Automation area as part of its restructuring. After the sale, ABB plans to focus on three business areas: Electrification, Motion and Automation.

The transaction is structured as a carve-out:
- ABB will place the Robotics business into a new holding company.
- A SoftBank subsidiary will acquire 100% of that holding company.
- If the deal closes, the business will become a SoftBank Group subsidiary.
The announced price is an enterprise value and remains subject to customary closing adjustments, including items such as net debt and net working capital. It should not be treated as a guaranteed final cash payment or final equity purchase price.
SoftBank’s announcement and ABB’s divestment release identify the buyer as SoftBank Group Corp. through a subsidiary—not simply the consumer-facing SoftBank telecom business and not necessarily SoftBank Robotics as the direct purchaser.
How much is the ABB Robotics deal worth?
The announced enterprise value is $5.375 billion. SoftBank’s Japanese announcement gave an approximate equivalent of ¥818.7 billion using the exchange-rate convention applied at announcement.

ABB said it expected cash proceeds of approximately $5.3 billion after transaction costs. It also projected a non-operational pretax book gain of approximately $2.4 billion when the transaction closes.
Those figures describe different measures. Enterprise value can include assumed debt and other adjustments, while ABB’s expected proceeds refer to the cash it expects to receive after costs. The final amount can change before closing.

No completed acquisition has been established by the latest official material identified through August 18, 2026. The transaction remains described as pending, with completion expected in the second half of 2026, subject to regulatory approvals and customary conditions.

SoftBank shareholder materials say approvals are required in jurisdictions including the European Union, China and the United States. The reviewed sources do not establish that all approvals had been obtained or that the transaction had closed.

It is not accurate to say that SoftBank already owns the business unless a subsequent closing announcement confirms that change.
Why is ABB selling its robotics business?
ABB had previously planned to spin off Robotics as a separately listed company. The SoftBank agreement replaced that plan with a strategic sale.
ABB’s stated rationale includes:
- Delivering immediate value to shareholders.
- Providing cash for capital-allocation priorities.
- Giving the Robotics business an owner focused on AI, robotics and next-generation computing.
- Simplifying ABB around Electrification, Motion and Automation.
The decision also reflects a trade-off. A public spin-off could have created a separately valued robotics company, but it would have involved execution risk, market volatility, transaction costs and the uncertainty of launching a new listed business. A negotiated sale offers ABB a defined strategic buyer and expected cash proceeds, although closing remains conditional.

- An installed base of industrial robots and related equipment.
- Experience serving automotive, electronics, logistics, food and beverage, and general manufacturing customers.
SoftBank, meanwhile, brings capital, AI investments, computing exposure and a portfolio-building strategy. Its thesis is that AI could make industrial robots more flexible, autonomous and useful outside tightly programmed production environments.
That is a strategic argument, not proof of a guaranteed transformation. The official announcements do not disclose a detailed integration plan, quantified revenue synergies or a product roadmap showing that ABB robots already use SoftBank-backed AI models.
How ABB fits into SoftBank’s robotics portfolio
SoftBank has been assembling a broad robotics portfolio rather than betting on a single type of robot. Its materials say approximately 20 robotics-related portfolio companies were consolidated from fiscal 2024 through fiscal 2025 under an intermediate holding company called Robo HD.

ABB’s distinction is its industrial scale and deployment history. Newer AI companies may offer more advanced software or model capabilities, but they generally do not bring the same combination of manufacturing infrastructure, customer access, safety requirements and installed equipment.

These are potential outcomes, not announced commitments. Turning them into products would require technical integration, customer validation, safety certification and reliable long-term support.
Why the deal matters for industrial robotics
The transaction is significant because it connects two different parts of the robotics market. ABB represents the established industrial layer: robots deployed in factories, supported by engineering teams and embedded in customers’ production processes. SoftBank’s portfolio adds exposure to software, logistics automation, AI models and computing.
That combination could give SoftBank a route to industrial customers that would be difficult to build from scratch. It could also give SoftBank-backed AI companies access to real-world hardware, operational data and deployment environments.
The broader bet is that the next phase of robotics will not be defined only by better mechanical arms. It may depend on combining hardware, software, data, models, simulation, edge computing and service networks into systems that can work safely in less predictable environments.
Still, ABB’s core business is primarily industrial robotics. The acquisition should not be presented as a direct bet that SoftBank is buying a humanoid-robotics leader or that the deal will automatically produce humanoid robots.

Regulatory timing

Integration complexity
SoftBank’s portfolio includes businesses with different technologies, cultures, customers and sales cycles. Combining a large industrial division with venture-backed AI companies could create conflicts over product priorities, intellectual property, data access and distribution.
Price and execution
At $5.375 billion in enterprise value, the transaction is a substantial capital commitment. The available announcements do not provide enough information to conclude that the price is cheap or expensive without a fuller valuation analysis. SoftBank must also demonstrate that portfolio breadth can become operating performance rather than simply a collection of investments.
Customer continuity
Industrial customers often prioritize long product lifecycles, spare parts, safety certification, cybersecurity and backward compatibility.
