Reports of acquisition talks were contemporaneous, but the available evidence does not establish that a potential sale caused his departure. Smartsheet later announced a deal and completed its acquisition in January 2025; it is not a pending transaction.
What happened to Smartsheet COO Stephen Branstetter?

The filing also said the company would eliminate the COO position after his departure. It gave the organizational context as a move to a dual-President model: one President for Go-to-Market and another for Product & Innovation. The filing was signed by Smartsheet CFO and Treasurer Pete Godbole.
“In light of its transformation to a dual President model with a President, Go-to-Market and a President, Product & Innovation, the Company will eliminate the position of Chief Operating Officer following Mr. Branstetter’s departure.”

The filing did not provide Branstetter’s personal reason for leaving. It also did not link his resignation or the restructuring to acquisition discussions.
How the resignation related to reported acquisition talks
A September 18, 2024, report described Branstetter’s departure as occurring amid reports of acquisition talks. That report attributed a near-deal account, valued at approximately $8 billion, to Reuters. The timing alone does not show that a possible sale prompted Branstetter to resign. The company’s SEC filing confirms the resignation and explains the planned COO-role elimination in terms of its dual-President structure; it does not mention acquisition talks as a reason.

The approximately $8 billion figure in the earlier report and the approximately $8.4 billion value in Smartsheet’s later announcement refer to different stages and sources. The company’s definitive announcement specified $56.50 per share in cash; the earlier reported figure should not be treated as the final deal terms.
