Skyworks Announced a Plan to Acquire Avnera, an Analog SoC Vendor

In August 2018, Skyworks Solutions announced plans to acquire Avnera Corp., an analog system-on-chip (SoC) supplier focused on audio and voice processing. EE Times reported proposed consideration of $405 million in cash, plus up to $20 million tied to sales targets. The transaction was presented as a way to add Avnera’s low-power acoustic technology to Skyworks’ wireless-connectivity portfolio; those expected benefits were projections, not reported outcomes.

What Skyworks announced

EE Times reported on August 9, 2018, that Skyworks planned to acquire Avnera for $405 million in cash, with up to another $20 million in contingent consideration if Avnera products met specified sales targets. The distinction between the fixed and contingent amounts matters: $405 million was the reported cash purchase consideration, while the additional amount depended on future sales targets. The reports do not establish whether the contingent payment was earned.

What Avnera made

Avnera supplied analog SoCs that combined audio and voice circuitry, power management, and custom hardware accelerators for acoustic signal processing and AI features. In practical terms, the chips were designed to handle audio input and processing efficiently while supporting voice-enabled functions.

Skyworks identified potential applications including:

  • AI speakers and microphones
  • Virtual assistants
  • Intelligent gaming controllers
  • Vehicle in-dash systems
  • Wired and wireless headsets

EE Times reported that Avnera had more than 100 issued and pending patents in 2018; it did not separate the issued count from the pending count. Why Skyworks wanted the technology

Skyworks’ business centered on wireless connectivity, while Avnera brought audio, voice, and acoustic-processing capabilities. The strategic logic was to combine those capabilities in products where connectivity and voice interfaces work together, such as speakers, headsets, and vehicle systems.

Skyworks president and CEO Liam K. Griffin framed the rationale this way in the contemporaneous EE Times report: “Voice is increasingly becoming the primary interface for artificial intelligence and Internet of Things applications. Skyworks’ acquisition of Avnera will enable us to capitalize on the rapid proliferation of audio functionality and its convergence with our advanced connectivity solutions.” EE Times

Griffin’s statement explains the company’s expectation; it does not establish that the anticipated market opportunity or business benefits were later realized. EE Times reported that Skyworks estimated the acquisition would expand its addressable market by more than $5 billion. That was Skyworks’ estimate at announcement, not an independently verified market size or a reported financial result. EE Times

What the announcement does—and does not—establish

The contemporaneous trade-press reports document Skyworks’ announced plan and its reported terms. They are not the purchase agreement or a primary closing notice. The sources cited here do not confirm the closing date, the final consideration paid, or whether Avnera met the sales targets for the possible additional payment. Accordingly, “announced plans to acquire” is more precise than treating the headline’s “buys” as proof of completion.
