Silver Lake led a $108 million Series D strategic investment round in Vacasa, the vacation rental management company, announced June 2, 2020. Vacasa also named existing investors Riverwood Capital and Level Equity as participants. The company said the financing would fund continued growth and innovation; it did not disclose individual contributions or a detailed use-of-proceeds breakdown.
What Silver Lake invested in
Vacasa manages vacation rental homes on behalf of homeowners and serves guests through its management platform and technology. It is not simply a travel-booking marketplace: its business includes managing the homes offered for stays. In June 2020, GeekWire reported that Vacasa managed more than 26,000 homes across 31 U.S. states and 18 countries. Those figures describe the company at the time, not its present-day scale. Who participated and what the financing was for
Vacasa called the financing a Series D strategic investment round and said Silver Lake led it, with existing investors Riverwood Capital and Level Equity also participating. The announcement said the capital would enable continued investment in growth and innovation, but did not specify how much any investor contributed or allocate the proceeds among particular initiatives. How the $108 million relates to Vacasa’s SEC filing
Vacasa’s later SEC-filed annual report describes a related financing detail: on May 21, 2020, it issued $108.1 million in aggregate principal of D-1 senior secured convertible notes to existing holders of its preferred units. The report says those notes converted into equity interests in connection with Vacasa’s reverse recapitalization in December 2021. The company’s June 2 announcement described a $108 million Series D strategic investment round. These are different descriptions of the 2020 financing in company records; they should not be added together or presented as evidence of two separate investments exceeding $108 million. Why the round drew attention during the pandemic
The investment came as COVID-19 disrupted travel. Vacasa CEO Matt Roberts said the company had faced challenges as the pandemic took hold and described investor support as strengthening its financial position. In its June 2020 announcement, Vacasa reported that guest reservations created in May were six times the April total. It also said it had bookings in 723 U.S. cities, up from 357 during the height of restrictions, and that its booking window had returned to 40 days after reaching an April peak of 142 days. How it followed Silver Lake’s earlier Vacasa investment
The $108 million announcement followed an earlier Silver Lake-led strategic round that Vacasa announced on October 29, 2019, and described as $319 million. At the time, Vacasa said it planned to use that earlier financing to advance its technology platform, enter new markets, and grow its real estate services. Those plans were attached to the 2019 round; Vacasa did not say that they were the specific allocation for the 2020 financing. Vacasa’s October 2019 announcement.
