What happened to Shutterstock stock on Oct. 5?
AD HOC NEWS reported that Shutterstock shares closed at $4.02 on Oct. 5, 2026, a 5.79% gain for the day. The same report put the session range at $3.76 to $4.03 and trading volume at 512,000 shares. These are figures from a secondary news report, not an independently verified exchange quote. AD HOC NEWS’s Oct. 7 report also offered an interpretation of investor attention, but it does not establish what caused the Oct. 5 move.
The timing matters: Shutterstock published its Q2 results on Aug. 4, nearly two months before the reported share-price gain. The quarter’s results provide context about the company, not proof of a reason for that particular trading session.
How did Shutterstock perform in Q2 2026?
The quarter ended June 30, 2026. Shutterstock’s Aug. 4 results release reported lower revenue, adjusted earnings, subscribers, paid downloads and adjusted EBITDA than in the year-earlier quarter. Its trailing-12-month average revenue per customer rose. The table compares the same quarter in each year; adjusted figures are non-GAAP measures reported by the company.

The adjusted results and GAAP results are different measures, not two descriptions of the same earnings figure. In particular, the company’s $0.82 adjusted diluted EPS for Q2 2026 is not its GAAP diluted loss per share of $4.25.

Why was Shutterstock’s GAAP loss so large?
The principal unusual charge was a $173.7 million goodwill impairment. In its Form 10-Q, Shutterstock said Getty Images’ termination of the proposed merger agreement, announced after the market close on June 30, triggered a quantitative impairment test. Using a market approach to estimate the reporting unit’s fair value, the company recorded the impairment; it included a $10.4 million deferred-tax impact.
The impairment helps explain why the GAAP result was sharply negative while adjusted net income remained positive. It does not mean the quarter’s other indicators were strong: revenue, subscriber revenue, subscribers, paid downloads, adjusted net income and adjusted EBITDA all declined year over year.

What did management say about costs and the rest of 2026?
In the Aug. 4 release, Interim CEO and CFO Rik Powell said Shutterstock had achieved more than $70 million in annualized run-rate operating-expense reductions over the prior 18 months and was targeting another $60 million by year-end. Those are management’s reported cost actions and target, not a guarantee of future savings or profitability.
The company said it would not issue guidance for the remainder of 2026 while preparing a strategic update. It also said it would no longer host the conference call originally scheduled for Aug. 6.

What the stock gain does—and does not—show
A one-session rise does not reverse the weak year-over-year Q2 figures, and those figures do not establish why the stock moved on Oct. 5. The available report provides a reported closing price and percentage change, while Shutterstock’s filings document its quarterly financial performance. Neither source verifies a causal link between the two.
