The closing and the ceremony were separate events.

Nasdaq reported that 7GC stockholders approved the transaction at a special meeting on December 13, 2023. The December 15 ceremony celebrated Banzai’s public-market debut; it was not the date the transaction closed. Nasdaq’s closing announcement and Opening Bell record document the two milestones.
What was the SPAC deal?
Banzai combined with 7GC, a special purpose acquisition company, through a business combination. The merger agreement was dated December 8, 2022, according to Banzai’s 2023 annual report. A SPAC is a company formed to raise capital through an initial public offering and later combine with a private operating business; in this case, the combination gave Banzai a public listing.
The original 2022 announcement estimated a post-transaction enterprise value of $380 million and approximately $207 million in net cash, assuming no redemptions. Those were announcement-stage estimates, not confirmed outcomes of the completed deal. The same announcement described a planned acquisition of Hyros; that plan should not be treated as a completed acquisition based on the announcement alone. The original transaction announcement contains those proposed terms.

What did Banzai do when it listed?
In its 2023 annual report, Banzai described itself as a marketing technology company selling software-as-a-service products. The filing said its products were sold through recurring subscription licenses, with contract terms ranging from a single month to multiple years. It described three offerings:
- Reach: A SaaS and managed-services product intended to increase registration and attendance for marketing events.
- Demio: Webinar software Banzai acquired in 2021.
- Boost: A social-sharing tool for events hosted on Demio, launched in 2023.
Banzai reported more than 2,770 customers in over 90 countries as of December 31, 2023. That is a company-reported historical figure from its 2023 annual report, not a current customer count. Banzai’s 2023 annual report describes its products, subscription model and year-end customer figure.

How has the listing changed since the debut?
Banzai’s Nasdaq market tier and share structure changed after its 2023 debut. The company transferred from the Nasdaq Global Market to the Nasdaq Capital Market on October 31, 2024. Split-adjusted trading began on May 8, 2026, following a 1-for-20 reverse stock split. In a reverse split, a company consolidates shares; the ratio alone does not establish a change in the company’s underlying value. Banzai’s June 2026 filing identified BNZI as listed on the Nasdaq Capital Market. The June 2026 filing provides the dated listing and split details.
The filing also described an agreement on terms to acquire ConnectAndSell assets, subject to a definitive agreement and closing conditions, with no assurance the transaction would close. It should therefore be treated as proposed unless a later filing confirms completion.

Separately, Nasdaq reported in May 2026 that Banzai products OpenReel and Demio would be marketed, sold and supported through Ingram Micro’s U.S. channel partner ecosystem. In Nasdaq’s December 15, 2023 release, Joe Davy said: “This public listing will enable us to accelerate our strategy.” The statement was an executive’s description of the company’s intended benefit from the listing, not independent evidence of its results.
