Seagate and Toshiba Reportedly Vie for TDK’s HDD Head Business—but Toshiba Disputes the Report

Bloomberg Law reported on October 6, 2026, that Seagate and Toshiba were competing to acquire TDK’s hard-disk-drive (HDD) magnetic-head business. The reported talks, bidding sequence and possible multibillion-dollar value have not been confirmed as transaction terms. Toshiba disputed the account and denied that three-party discussions about HDD head supplies had taken place. There is no confirmed buyer or announced deal in the sources available.

What was reported—and what Toshiba disputes

Bloomberg Law reported that Toshiba began talks in spring 2026 and Seagate made a higher offer in summer, citing people familiar with the matter. In an October 6 report, Investing.com said a Toshiba spokesperson told Bloomberg the story was “inconsistent” with the company’s understanding. Toshiba also denied that three-party discussions among Toshiba, TDK and Seagate had taken place regarding HDD head supplies. Japan Industrial Partners, identified in that report as Toshiba’s principal backer, reportedly gave the same characterization. What TDK’s HDD magnetic-head business does

Magnetic heads read and write data on the platters inside HDDs. TDK describes its Magnetic Heads Business Company (MHBC) as a specialized supplier focused on heads for high-capacity drives. Its materials say SAE Magnetics (H.K.) Ltd., based in Hong Kong, joined the TDK group through an acquisition in 1986. TDK’s business and strategy materials

TDK’s stated priorities include maintaining its position in microwave-assisted magnetic recording (MAMR), accelerating heat-assisted magnetic recording (HAMR) development and preparation for mass production, and increasing the share of its Tri-SA suspension technology. Those activities make the business strategically relevant: acquiring a head supplier could give a buyer control over component technology and development capabilities. The available information does not establish the proposed transaction’s structure, which assets or intellectual property it might include, or how customers would be supplied afterward.

Why Seagate or Toshiba might be interested

HDD makers depend on closely coordinated components and recording technology to increase storage capacity. Owning a magnetic-head business could potentially give a buyer greater control over development and supply. That is a strategic rationale, not evidence that either company has agreed to buy TDK’s business or that a particular buyer would change access for competing drive makers.

A 2011 European Commission decision described TDK as the only merchant-market supplier of HDD read/write heads at that time. It said Toshiba and Samsung relied exclusively on TDK, while vertically integrated manufacturers including Seagate, WD and HGST also bought TDK heads. How TDK’s and Toshiba’s technology roadmaps fit in

TDK: MAMR, HAMR and Tri-SA

In a May 2026 investor presentation, TDK identified MAMR, HAMR and Tri-SA as areas for next-generation HDD investment. It described continued research and development and capital spending to enable HAMR mass production, alongside expansion of Tri-SA capacity. The presentation credited its shipment and capacity forecasts to TrendFocus and HDD Information Service’s February 2026 update, but dependable precise values are not available in the extracted chart text, so no numeric forecast can be stated here. Toshiba: a 40TB-class target, not a shipping product

Toshiba said in March 2026 that it had verified 12-disk stacking technology combined with MAMR and was targeting 40TB-class HDDs in the standard 3.5-inch format by 2027. What is not yet known
