Seaboard Foods’ 2016 Texas Farm Asset Purchase: Price and Details

Seaboard Foods’ pork segment acquired certain assets of Texas Farm, LLC on September 1, 2016, for $59 million in cash, according to Seaboard Corporation’s 2016 annual report. The assets included hog inventory, farms and a Texas feed mill. Seaboard said the added production capacity would support hog supplies for its Guymon, Oklahoma, plant and a planned plant in Sioux City, Iowa.

What Seaboard bought in 2016

The annual report describes the deal as an acquisition of certain assets of Texas Farm, LLC—not necessarily the entire company. Seaboard reported $59 million in total cash consideration for the transaction, which closed September 1, 2016. The assets included hog inventory, hog farms and a feed mill in Texas. Source: Seaboard Corporation’s 2016 Annual Report, Note 12.

The report’s purchase-price allocation was:

Category Reported amount
Inventory $16 million
Property, plant and equipment $42 million
Goodwill $3 million
Accounts payable $2 million
Net consideration $59 million

These are figures reported by Seaboard in its 2016 annual report, filed in 2017. See Note 12.

Why Seaboard said it made the purchase

Seaboard said the additional hog production capacity would let it expand and realign production to supply its Guymon pork plant and the Seaboard Triumph Foods plant planned for Sioux City. At the time, the Sioux City facility was scheduled to begin operating in mid-2017. That was the company’s stated rationale; the annual report does not establish a measured outcome attributable to the acquisition.

What the annual report said about 2016 results

For the acquired operation, Seaboard reported $4 million in net sales and a $2 million net loss recognized during 2016. Those are reported results for the period recognized in the acquisition year, not full-year figures or a statement about the operation’s later performance. Is this the same purchase as Seaboard’s 2025 farm announcement?

No. On September 11, 2025, Seaboard Foods announced a separate purchase of three farms in Perryton, Texas; Optima, Oklahoma; and Balko, Oklahoma. The company said the barns together had 57,000 market-hog spaces and would directly supply its Guymon plant. Its announcement did not name Texas Farm, LLC as the seller or disclose a purchase price. Seaboard Foods president and CEO Chad Groves said of the 2025 acquisitions: “We are excited about these acquisitions as they strengthen our commitment to delivering premium pork products and embodying The Prairie Fresh Way.” That statement concerns the 2025 farms, not the 2016 Texas Farm transaction.

How the deal fits Seaboard Foods’ operations

Seaboard Foods currently says its farms are in Colorado, Iowa, Kansas, Oklahoma and Texas and supply its Guymon and Sioux City plants. Its farm operations include sow barns for breeding, gestation and farrowing; nursery barns for weaned piglets; and finishing barns that raise hogs to market weight. The company says it oversees production, including genetics, nutrition and animal welfare. This describes its current operating model, not the exact contents of the 2016 purchase. That provides company context, but does not show what results the Texas Farm assets produced after the transaction. Seaboard Corporation’s Seaboard Foods profile.
