Sabena collapsed because it ran out of cash and credit: by November 2001, the Belgian airline could not meet its short-term bills. That immediate liquidity failure grew from years of financial strain, including costly aircraft commitments, weak planning and oversight, and Swissair’s failure to provide promised recapitalization. Belgium’s limits on injecting new capital left Sabena without a viable backstop.
Why Sabena could not pay its bills
The Belgian parliamentary inquiry identified a cash-flow crisis as the immediate cause of Sabena’s failure. The airline was not generating enough operating cash to cover current costs, while monthly lease payments on aircraft were rising. Credit facilities had become unavailable, and neither shareholder funding nor another viable source of money filled the gap.
The inquiry summarized the moment plainly: “The liquidity problems had at this point become so overwhelming that the short-term obligations could not be met.” Sabena sought legal composition in October 2001, but no takeover candidate or workable recovery plan emerged. It was declared bankrupt on 7 November 2001.
The Belgian Chamber of Representatives’ parliamentary inquiry report (2003) treats lost creditworthiness and the absence of shareholder capital as central to the immediate failure.

How the aircraft strategy added financial pressure
Sabena’s cash crisis had deeper roots in decisions about fleet investment and how to finance it. In 1997, the board chose to purchase 34 Airbus aircraft. The inquiry found that planning and financing were inadequate: financing had been planned for only 13 of the 34 aircraft, and a McKinsey study warned of substantial overcapacity. The board did not reduce the order in response.
The aircraft decision mattered because it contributed to financing needs and ongoing lease costs, but it was not the sole cause of bankruptcy. The inquiry placed it among a wider set of weaknesses that eroded Sabena’s finances, including the absence of an integrated plan and insufficient board response to warnings.

Swissair’s role and Belgium’s funding constraint
Swissair had acquired a controlling stake in Sabena in 1995. By 2001, the parliamentary inquiry said Swissair had not met recapitalization commitments. It also described pressure from Swissair and unfulfilled financing promises. Those findings help explain why expected shareholder support did not arrive when Sabena needed it.
Belgium, Sabena’s majority shareholder, could not simply replace that money: the inquiry said applicable European rules prevented the Belgian state from injecting new capital. With operating cash insufficient and credit unavailable, the airline had no effective source of short-term funding.

The European Commission’s 2002 answer provides context for the state-aid environment. It said rescue aid for Sabena had been authorized in October 2001, while explaining the Commission’s position that repeated rescue and restructuring aid can distort competition and that restructuring aid should generally be granted at most once to a beneficiary. What courts and later claims establish—and what they do not
A Brussels commercial court found that Swissair entities had breached agreements with Belgian shareholders concerning Sabena refinancing in January and August 2001. The Belgian government’s account emphasized that this ruling addressed a limited part of the wider disputes; it did not decide the central dispute over the 1997 fleet renewal. In a separate statement, the Belgian government reported claims brought by the Belgian State and Sabena’s curators against former Swissair managers. These included allegations of disloyal management, accounting manipulation and failure to meet obligations. After liquidation, Delta Air Transport, trading as SN Brussels Airlines, took over Sabena’s regional jets. It was a successor operation, not Sabena continuing unchanged. The European Commission reported that the new airline launched at about 40% of Sabena’s capacity by aircraft count and about 28% by available seat kilometres. Those figures describe launch capacity, not the successor’s later scale. The Commission’s 2009 merger decision records the comparison.
