What Ron Black’s proposed bid involved
On August 12, 2021, ITPro reported that Black was associated with a consortium exploring a purchase of Newport Wafer Fab from Nexperia. Black described the group as a possible “white knight” if the UK government decided Nexperia’s acquisition could not stand.
Black said the consortium had approximately £300 million available to invest and comprised three semiconductor companies and three financial sponsors. The participants were not named. He said the group had not made a competing offer, and had not met with Nexperia or Newport Wafer Fab. The figure was Black’s statement as reported at the time; the report did not establish a financing structure or completed transaction.
Who was Ron Black, and what was the plant?
Black was a former CEO of Imagination Technologies. He is not Sir Hossein Yassaie, another former Imagination Technologies chief executive who left that role in 2016; the 2021 report concerned Black.

Newport Wafer Fab was a semiconductor manufacturing facility in Newport, South Wales. Unlike a chip-design company, a wafer fab manufactures semiconductor wafers. Contemporary coverage described it as the UK’s largest semiconductor manufacturer. In its later sale announcement, Nexperia described the site as an automotive-certified 200mm wafer fab on about 28 acres, supplying primarily automotive markets. Those characteristics describe a mature-node manufacturing facility, not a leading-edge processor fab.
Why Nexperia’s ownership became a national-security issue
Nexperia acquired Newport Wafer Fab in 2021, and the transaction initially completed before the government’s formal review. The political dispute reflected concerns about strategic semiconductor capacity, supply-chain resilience, foreign ownership and the possibility that sensitive technology or know-how could become accessible to third parties. Nexperia is a Dutch company; its parent, Wingtech, is China-based, a distinction important to understanding the ownership debate.

The UK government’s final-order notice said sensitive intellectual property, expertise and information relating to compound-semiconductor design, research and development, and manufacturing at the Newport site could pose a national-security risk if accessible to third parties. That is the government’s stated assessment; it should not be recast as proof of espionage or a specific military use.
How the ownership dispute unfolded
- July 2021: Nexperia acquired Newport Wafer Fab, according to contemporary reporting.
- August 12, 2021: Black’s conditional consortium interest was reported; no competing offer had been made.
- May 25, 2022: The government called in the acquisition for a full national-security assessment under the National Security and Investment Act 2021.
- November 16, 2022: The government issued a final order requiring Nexperia to divest at least 86% of the relevant Newport business. The requirement was discussed in Parliament on November 21, 2022, in the House of Commons record.
- November 8, 2023: Nexperia announced an agreement to sell the Newport fab to Vishay Intertechnology for $177 million in cash. The announcement also described the facility’s size and automotive manufacturing profile: Nexperia’s sale announcement.
- March 6, 2024: Vishay and Nexperia announced that the sale had closed: closing announcement.
Was Black’s consortium the eventual buyer?
No. The 2021 report described exploratory, conditional interest and explicitly said the group had not made an offer. The eventual purchaser was Vishay, which completed its acquisition in March 2024. The available public record cited here does not establish whether Black’s consortium later withdrew, pursued the opportunity, or took any further step; it does establish that the consortium was not the buyer.

What the episode shows about strategic investment
A proposed buyer can offer capital and a possible route to continuity, but that does not by itself resolve the concerns that prompt a national-security review. In Newport’s case, the government’s stated concern involved access to sensitive expertise and information as well as ownership. The case also illustrates why chip design, semiconductor intellectual property and wafer fabrication should not be treated as interchangeable: a factory’s strategic significance can depend on its capabilities, know-how, customers and role in supply chains, not only on whether it makes the newest processors.
For readers encountering the old headline, the key distinction is between a possible fallback buyer and an actual transaction. Black’s consortium was reported as a potential response to a government decision that had not yet been made; the later divestment process ended with Vishay’s purchase.
