QIAGEN completed its acquisition of Seattle-based Parse Biosciences on December 2, 2025. The roughly $225 million figure in the original announcement was the upfront cash payment, not the full set of reported acquisition-accounting figures: QIAGEN later reported $231.0 million in cash consideration, plus potential milestone payments of up to $55 million.
When did QIAGEN acquire Parse Biosciences?
QIAGEN announced a definitive agreement to acquire Parse on November 4, 2025, and at that time expected the transaction to close in December, subject to U.S. antitrust clearance and customary conditions. QIAGEN’s second-quarter 2026 report later confirmed that it acquired 100% of Parse’s shares on December 2, 2025. How much did QIAGEN pay?
The deal’s headline amount and the later accounting figures describe different parts of the transaction, reported at different times. QIAGEN’s acquisition announcement described approximately $225 million in upfront cash and up to $55 million in additional milestone payments for Parse equityholders over multiple years. In its 2026 second-quarter filing, QIAGEN reported $231.0 million in cash consideration, including $33.0 million retained in escrow for working-capital adjustments and possible claims.

The $13.4 million fair value is an accounting estimate of contingent consideration at the acquisition date; it is not the maximum amount Parse equityholders could receive. QIAGEN said its purchase-price allocation was still preliminary as of June 30, 2026 and could change.

What does Parse Biosciences do?
Founded in Seattle in 2018, Parse develops tools for single-cell research—methods that measure gene activity in individual cells rather than averaging signals across a mixed sample. Its Evercode platform uses chemistry-based, instrument-free workflows for high-throughput single-cell RNA analysis. The company also offers Trailmaker, cloud-based analysis software, and GigaLab, a processing service for large-scale projects. These product descriptions are from QIAGEN’s announcement and filing.
QIAGEN said Parse technologies were used in more than 3,000 labs across more than 40 countries. Its 2025 announcement also cited GigaLab capacity of 2.5 billion cells per year and the Tahoe-100M dataset, which contains more than 100 million single-cell transcriptomes. These are company-reported figures, not independent assessments of product performance or market adoption.

Why did QIAGEN buy Parse?
QIAGEN said the acquisition would extend its Sample technologies portfolio into scalable single-cell research and could complement QIAGEN Digital Insights, its bioinformatics business. Its stated strategy was to combine Parse’s chemistry with QIAGEN sample technologies and data-analysis capabilities to support large biological datasets and AI-driven drug discovery. Those are the company’s goals for the deal, not outcomes established by the acquisition itself.
QIAGEN also pointed to a broader market opportunity. Its announcement estimated the global single-cell market at approximately $1.2 billion in 2024, growing to $2.1 billion by 2029 at about 10% annually. That is a company-cited market estimate, not an independently verified market measurement.

What did QIAGEN forecast for Parse sales?
When it announced the agreement in November 2025, QIAGEN forecast that Parse would contribute approximately $40 million in sales in 2026, equivalent to about two percentage points of growth, and projected strong double-digit growth in subsequent years. QIAGEN repeated the approximate $40 million expectation in its 2026 priorities release. These are forecasts, not confirmed sales results. In its second-quarter 2026 filing, QIAGEN said Parse’s revenue and earnings since acquisition had not been significant to consolidated results.
