The latest comparable figures in the available reporting show the combined PTML (Ufone) operator with 35.91% of mobile subscribers at the end of May 2026. They do not establish Telenor Pakistan’s former standalone market share or prove how much it had declined.
Did Telenor Pakistan’s market share decline?
The headline claim cannot be quantified from the available figures. No dependable comparable time series establishes Telenor Pakistan’s standalone subscriber share before the acquisition, how it changed, or what caused any decline. The current PTML figure combines the former Telenor Pakistan business with Ufone; it cannot be used as Telenor’s previous share.
This distinction matters because “market share” can refer to subscribers, revenue, traffic, spectrum or coverage. The latest comparison below is specifically a share of the mobile subscriber base, not a measure of revenue or unique individuals.
What is the latest reported market share?
Dawn reported the following end-of-May 2026 subscriber shares, attributing the figures to Pakistan’s PTA:

These figures describe the market after the businesses had been combined for reporting purposes. Dawn also reported that the combined operator had approximately 74 million subscribers. A senior Ufone executive estimated that around 4 million might leave in the coming months as customers switched networks; that was a forecast, not recorded churn.
Why was the PTCL–Telenor merger delayed?
The delay involved multiple regulatory and legal stages, rather than one approval covering everything. Pakistan’s Competition Commission (CCP) moved the proposed deal into a Phase II review in May 2024 after its preliminary assessment raised dominance concerns. In August 2025, the CCP said PTCL had presented a business plan and claimed efficiencies, but had requested more time to provide information sought by the Commission. The CCP conditionally approved the acquisition in October 2025. Further steps followed before the companies’ legal amalgamation in July 2026.

The transaction stages are not interchangeable: the sale was announced in 2023; the CCP later gave conditional competition approval; control transferred when the acquisition closed in December 2025; the PTA and court steps enabled the scheme and legal amalgamation; and practical customer and network integration remained a separate process.
What conditions did the CCP impose?
The CCP’s October 2025 approval set safeguards intended to address competition risks. The Commission said they were aimed at preventing favoritism, predatory pricing and barriers to market entry while maintaining regulatory oversight. The announcement of these conditions does not establish that compliance has since been completed.

- An independent third-party reviewer must monitor compliance, audit transactions and report quarterly to the CCP for five years.
- Related-party transactions must be conducted at arm’s length, with competitive treatment for other market participants.
- Interconnection and infrastructure access must be non-discriminatory. The PTA must approve specified wholesale pricing.
- The companies must not use predatory retail pricing and must comply with service-quality rules and PTA tariff approvals.
- PTCL must provide evidence that claimed efficiencies are passed on to consumers. The CCP reserved the right to order divestiture following future violations.
Will Telenor SIMs work on Ufone?
The legal amalgamation does not, by itself, establish that every customer’s SIM, billing arrangement or service had already migrated. In its 1 July 2026 report, Dawn described billing changes and Telenor SIM migration as future steps. The available reporting does not confirm their present status after that date, so customers should check current instructions from PTML or their service provider before replacing a SIM or changing account details.
What does the merger mean for network capacity?
PTCL’s Q1 2026 report said the group had secured spectrum in the 3.5 GHz and 2.6 GHz bands and planned to use it across the combined Ufone and Telenor footprint. PTCL described that footprint as serving more than 72 million customers. Those are company-reported scale and spectrum plans; they do not independently demonstrate future coverage, speed or service-quality improvements for a particular location.
