PTCL–Telenor Merger: Could It Speed Up 5G in Pakistan?

PTCL argued that combining Telenor Pakistan with its mobile business could support 5G, but the claim is not a launch promise. The CCP announced conditional approval in October 2025 with competition and consumer safeguards.

Possibly, but there is no confirmed 5G launch date. PTCL argued during the competition review that combining Telenor Pakistan with its mobile business could reduce costs, add network capacity and help accelerate 5G. Those were PTCL’s projected benefits, not a guaranteed rollout plan. The Competition Commission of Pakistan (CCP) announced conditional approval on 1 October 2025, so the review is no longer simply ongoing; approval does not itself confirm that the transaction has closed or that 5G service is ready to launch.

What PTCL said the merger could do for 5G

PTCL sought to acquire 100% of Telenor Pakistan and 100% of Orion Towers. In submissions to the CCP, it said a combined business could make cost savings, increase network capacity and speed technological advancement, including 5G rollout. PTCL also said the merged company would follow the Pakistan Telecommunication Authority’s (PTA) spectrum-sharing framework once issued.

That explains why 5G featured in the case, but it is not a consumer launch commitment. The CCP’s approval announcement quoted its chairman, Dr. Kabir Ahmed Sidhu, saying the merger aims to improve service quality, expand product offerings and accelerate innovation, including 5G. An aim, whether stated by PTCL or in the CCP’s announcement, is not proof of a launch date, coverage, pricing or achieved capacity.

Has the CCP approved the PTCL–Telenor merger?

Yes, conditionally. The CCP’s Phase-I review found the deal met the Competition Act’s presumption of dominance and referred it for a more detailed Phase-II review. The Commission announced conditional approval on 1 October 2025; its merger-orders index lists the Phase-II order as dated 30 September 2025. This is the latest disposition identified in those official CCP materials. Conditional approval is regulatory clearance subject to safeguards, not evidence by itself that the parties have completed the acquisition.

The review considered retail mobile and fixed-line telecommunications, wholesale domestic leased lines, wholesale IP bandwidth, and mobile and fixed interconnection markets in Pakistan. Those markets matter because the competitive effects of a deal can extend beyond how many mobile brands consumers see: access to towers, networks, interconnection and wholesale services can affect other providers too.

What did the CCP require as conditions?

The conditions are intended to address competition risks while requiring the claimed benefits to reach consumers. In its approval release, the CCP specified measures including:

  • Separate governance: PTCL and the merged entity must have separate boards and independent management, with qualified leadership.
  • Independent oversight: An independent third-party reviewer must report quarterly for five years.
  • Limits on internal advantages: Related-party transactions must be at arm’s length, and improper cross-subsidization is prohibited.
  • Access for other providers: Interconnection and infrastructure access must be non-discriminatory. Reference interconnect offers must be submitted to the PTA.
  • Pricing and service controls: PTA approval is required for specified wholesale pricing; predatory retail pricing is prohibited. The merged company must also comply with applicable service-quality, innovation and tariff rules.
  • Consumer benefit and enforcement: The parties must show that claimed efficiencies pass through to consumers through improvements in service, pricing and infrastructure. The CCP reserved divestiture as a remedy if future violations occur.

These safeguards address more than 5G. They are also relevant to whether competing operators can connect to networks, obtain infrastructure access and compete on fair terms.

Why spectrum and competition were central

In a 22 October 2024 hearing record, the CCP said the proposed MergeCo was expected to control 34.4% of the total allocated spectrum in the retail mobile telecommunications market. That was the Commission’s estimate for the proposed combined business, not a statement about a post-completion measurement or the share of customers it would serve.

Participants in the review raised issues including tariff regulation, infrastructure sharing, national roaming, tower colocation, fiberization, interconnection and the operation of cellular mobile operators. A larger spectrum position could be relevant to capacity and network plans, but it does not by itself establish where or when 5G would be available. The terms of spectrum sharing, network investment and access protections also matter.

Would the deal reduce Pakistan’s mobile operators from four to three?

The proposed combination brings Telenor Pakistan together with PTCL’s mobile operation, Ufone, under one group. If implemented, that would combine two of the existing operator groups and leave three independent mobile operator groups rather than four. That shorthand does not establish the resulting level of competition: it depends on the merged group’s conduct, rivals’ ability to compete, and how the CCP and PTA enforce access, pricing and service conditions.

When will PTCL or Ufone launch 5G?

The CCP materials cited here do not set an authoritative consumer launch date, publish a 5G coverage map or tariff schedule, or specify a handset requirement. PTCL’s efficiency case should therefore not be read as a promise that Ufone or Telenor customers will receive 5G by a particular date. Check future PTA or operator announcements for confirmed launch, availability, compatible bands and pricing.

A 5G-capable phone may be necessary to use a 5G service, but it is not sufficient: the operator must offer service in the customer’s area, and the device must support the network bands and configuration in use. No specific handset model is established by the CCP material discussed here.
