What happened—and when?
The transaction involved PTCL’s agreement to buy the entire issued share capital of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited. Competition Commission of Pakistan (CCP) and Pakistan Telecommunication Authority (PTA) decisions were separate steps, and the later transfer of control was distinct from the proposed corporate amalgamation.

What were the two regulators approving?
CCP: competition and market safeguards
CCP’s conditional approval focused on how the deal could affect competition, governance and consumers. Its announced conditions include separate boards and independent management for PTCL and the merged entity; competency and integrity standards for senior leadership; an independent third-party reviewer; and arm’s-length treatment of related-party transactions.

The conditions also address non-discriminatory infrastructure access and interconnection, PTA approval of specified wholesale pricing, restrictions on predatory retail pricing, consumer protection and innovation, and a requirement to demonstrate that efficiencies reach consumers. Business Recorder’s account of the PTA order describes further requirements, including keeping the companies as separate legal entities and maintaining separate accounts pending amalgamation; licence compliance; non-discriminatory infrastructure, bandwidth and interconnection; PTA approval for reference interconnection offers and tariffs; restrictions on cross-subsidization; preservation of certain existing telecom contracts; and prior PTA approval before merging networks, sharing spectrum or decommissioning sites. Has PTCL completed the acquisition?
Yes. PTCL’s Q1 2026 report states that the change of control completed on December 31, 2025. It separately describes PTA’s formal approval of a proposed PTML–Telenor amalgamation, to be implemented through a scheme of arrangement. The report does not establish that the amalgamation or every subsequent integration step was complete by October 8, 2026. PTCL First Quarter Report 2026

In short, the acquisition transferred ownership; the proposed amalgamation is a separate process. A regulator’s approval of the latter does not, on its own, establish that the companies have finished combining their operations.

The regulatory conditions set obligations and expectations; they do not document specific customer-facing changes already delivered. The NOC announcement required service continuity and quality during the transition. CCP’s conditions are intended to protect fair access and competition and to ensure that claimed efficiencies reach consumers through improved services, pricing and investment. The cited filings do not establish a particular immediate change to plans, prices, coverage or network quality.

PTCL’s Q1 2026 report says the combined spectrum portfolio serves more than 72 million customers; that is PTCL’s company-reported figure, not independently audited audience reach. The company also reported a 58% year-over-year increase in PTCL Group revenue and attributed part of the increase to including Telenor Pakistan’s results.
