The Pakistan Telecommunication Authority (PTA) issued its no-objection certificate (NOC) on 2 April 2026 for consolidating and transferring Telenor Pakistan’s telecom licences and amalgamating the company into Pak Telecom Mobile Limited (PTML), the PTCL-owned mobile operator known as Ufone. The NOC was a later regulatory milestone than the Competition Commission of Pakistan’s conditional approval of PTCL’s acquisition in October 2025; the approvals covered different legal steps.
What PTA’s final NOC approved
In a 2 April 2026 disclosure to the Pakistan Stock Exchange, PTCL said the PTA had issued an NOC for consolidating and transferring Telenor Pakistan’s licences to PTML and amalgamating Telenor Pakistan into PTML. PTCL said implementation would take place through a scheme of arrangement under applicable law. The company’s disclosure stated: “The proposed amalgamation shall be implemented through a scheme of arrangement in accordance with applicable laws.” PTCL’s PSX disclosure
This NOC was not the first approval in the transaction. The Competition Commission of Pakistan (CCP) had conditionally approved PTCL’s acquisition of 100% of Telenor Pakistan and Orion Towers on 1 October 2025. The July court timeline is not consistent across APP’s reports: its 1 July story says final court approval had already been received, while its separate 14 July story dates the Islamabad High Court’s approval to 14 July. Competition safeguards attached to the transaction
The approvals include safeguards intended to constrain how PTCL and its mobile arm operate alongside one another. The Pakistan Economic Survey 2025–26 says PTCL and PTML/Ufone must remain separate legal entities with separate detailed accounts, and that cross-subsidization is prohibited. It also summarizes restrictions on discriminatory or preferential treatment in interconnection, pricing, branding, wholesale bandwidth access and exclusive arrangements. The CCP’s conditions also include separate boards and independent management, non-discriminatory access to infrastructure and interconnection, PTA approval of reference interconnect offers and specified wholesale pricing, service-quality and tariff requirements, and a requirement to demonstrate that efficiencies benefit consumers. What the merger means for customers
The NOC alone does not tell customers to replace a SIM, change phone settings, or meet a migration deadline. The cited government and company material does not specify a universal customer action, a migration date, or a merger-related tariff change. APP reported company commitments to maintain service continuity during integration, but that is a reported commitment rather than independent evidence of post-merger service performance. The available sources also do not establish merger-specific before-and-after changes in prices, coverage, dropped calls, internet speeds or customer numbers. How liabilities and assets are described
The Pakistan Economic Survey says PTCL assumes liabilities of Telenor Pakistan, TLDI and Orion Towers. Separately, APP’s account of the Islamabad High Court order describes Telenor Pakistan’s assets, properties, rights and liabilities transferring to PTML upon completion of the scheme. These statements relate to different descriptions and stages of the transaction; they should not be treated as interchangeable summaries of every entity’s legal position.
