Proofpoint Completes $1.8 Billion Acquisition of Hornetsecurity: What It Means for Microsoft 365 Security

Proofpoint completed its $1.8 billion Hornetsecurity acquisition in December 2025. Learn why it matters for MSPs, Microsoft 365 security, Proofpoint Essentials customers and the 2026 365 Total Protection launch.

Proofpoint completed its acquisition of Hornetsecurity Group on December 8, 2025, for total consideration of $1.8 billion, according to Proofpoint. The transaction added Hornetsecurity’s European Microsoft 365 security and data-protection business, its multitenant platform, and a network of more than 12,000 managed service providers (MSPs) and channel partners. Hornetsecurity is now the foundation of Proofpoint’s dedicated MSP Platform, rather than a product line that has simply disappeared into Proofpoint.

The clearest commercial development since closing is Proofpoint’s May 13, 2026 North American launch of Proofpoint 365 Total Protection. Public announcements still do not establish a universal migration requirement, unified pricing, or the technical merger of every product.

Proofpoint’s completion announcement is available at Proofpoint’s newsroom. Hornetsecurity is headquartered in Europe, and its business has been strongly oriented toward European distribution, Microsoft 365 customers and service providers.

Why Proofpoint bought Hornetsecurity

A faster route into MSPs and smaller businesses

Proofpoint has historically been strongest in enterprise security. Hornetsecurity supplied an MSP-first operating model through which service providers can deploy and administer protection for many customer tenants. That gives Proofpoint indirect access to small and midsize organizations that may buy security through an MSP instead of contracting directly with a large security vendor.

European distribution and global channel scale

Hornetsecurity added an established European footprint and partner relationships. Proofpoint’s 2026 MSP announcement says the combined network serves more than 125,000 customers in more than 120 countries through over 12,000 channel partners and MSPs. Those figures describe reach attributed to the combined business; they are not a market-share measurement.

Broader Microsoft 365 coverage

Hornetsecurity’s platform is designed to bring email protection, backup, continuity, archiving, compliance, awareness and access controls into one multitenant environment. The strategic appeal is breadth and administration, not just another email-filtering engine.

Cross-selling potential

Proofpoint can potentially introduce its broader threat and enterprise capabilities through Hornetsecurity’s channel, while taking the acquired MSP model into additional geographies. Those are strategic objectives, not published evidence that the expected synergies have already been achieved.

Hornetsecurity positions 365 Total Protection as a Microsoft 365 security and data-protection platform. Its documented scope includes:

  • Email encryption, archiving and business continuity.
  • Microsoft 365 backup and recovery.
  • Compliance and governance functions.
  • Security-awareness training and phishing simulation.
  • Access and permission management.
  • Domain-fraud protection.
  • Multitenant administration for MSPs.
  • API, MX and hybrid deployment approaches.

What changed after closing

The Proofpoint MSP Platform

Proofpoint created a dedicated MSP Platform built on Hornetsecurity’s channel-first business. The unit covers both Hornetsecurity and Proofpoint Essentials, with Daniel Hofmann leading it. This is an organizational and go-to-market change; public announcements do not say that every underlying product has been technically consolidated.

Proofpoint 365 Total Protection in North America

On May 13, 2026, Proofpoint announced the North American launch of Proofpoint 365 Total Protection. The launch matters because it turns the acquisition into a visible regional offering and establishes the acquired platform as a foundation of Proofpoint’s channel strategy. Continuity rather than an immediate forced migration

Hornetsecurity says products, services, support teams and partner relationships continue. Proofpoint has also said it intends to continue the Essentials line and offer a simple upgrade path to 365 Total Protection “in the near future.” That is an announced direction, not proof that every customer can migrate without assessment. No reviewed announcement establishes a universal mandatory migration, a product-discontinuation timetable or a company-wide price increase.

What it means for different buyers

Existing Hornetsecurity customers

Customers should confirm their own contract and region rather than assume that a corporate announcement changes their terms. Before renewal or a plan change, verify the product name and SKU, contracting entity, price and currency, data location, retention, backup scope, support portal, escalation route and whether any upgrade is optional. Public statements indicate continuity, but they do not provide a customer-by-customer migration or pricing policy.

Proofpoint Essentials customers

Essentials remains part of the MSP Platform. Proofpoint’s stated plan is to provide an upgrade path to 365 Total Protection, but the timing and eligibility of that path should be confirmed with Proofpoint or the customer’s partner. Do not treat the North American launch as evidence that every geography has identical packaging.

MSPs and resellers

The acquisition is most consequential for providers managing multiple Microsoft 365 tenants. A centralized control panel can reduce duplicated policy work, reporting and provisioning when it supports the MSP’s actual requirements for delegated administration, templates, role separation and consolidated billing.

Enterprise security teams

Enterprise buyers should not assume Hornetsecurity replaces Proofpoint’s existing enterprise offerings. The likely relevance is additional Microsoft 365 coverage and channel reach. Any architecture decision still requires testing mail flow, backup scope, compliance controls, identity permissions and integration with existing Proofpoint or Microsoft services.

How MSPs should evaluate the combined offering

  1. Map tenants and administration. Determine whether multitenant policy, reporting, delegated access and role controls actually reduce work across your customer base.
  2. Check Microsoft 365 scope. Confirm Exchange Online protection, SharePoint and OneDrive backup, Teams-related requirements, identity controls, archiving and recovery objectives.
  3. Choose deployment deliberately. API deployment can avoid MX changes; MX deployment may provide pre-delivery filtering; hybrid designs may offer broader coverage while adding operational complexity.
  4. Validate residency and compliance. Obtain contractual confirmation of data location, retention, legal hold, recovery and regulatory terms for each required region.
  5. Model the commercial terms. Compare per-user, per-mailbox and per-tenant measures, minimum commitments, storage and retention allowances, overages, MSP margins and distributor or marketplace billing.
  6. Document support escalation. Establish whether support is direct, distributor-led or tiered, and identify the applicable service levels.
  7. Prevent product overlap. Do not run overlapping Proofpoint and Hornetsecurity filters without a documented mail-flow design; duplicate filtering can create routing loops and conflicting policies.

Trade-offs for SMB buyers

The central choice is suite simplicity versus component specialization.

  • Potential benefits: one provider for email security, backup, compliance and awareness; centralized reporting; and an MSP relationship that can manage several tenants.
  • Potential drawbacks: an all-in-one suite may be less specialized in an individual category, include features the buyer does not use, increase switching costs, or overlap with capabilities already licensed in Microsoft 365.
  • Possible poor fit: organizations needing only basic email protection, a deeply specialized backup platform, fully transparent self-service pricing, or contractual data-residency terms that have not yet been confirmed.

Market implications

The transaction illustrates continued consolidation around Microsoft 365 protection and MSP distribution. Vendors are increasingly packaging email defense, backup, compliance, awareness and governance for service providers that manage many SMB tenants. That can increase competition for Microsoft 365 security budgets and put pressure on standalone vendors, while also creating more choices for buyers.

The acquisition’s success should ultimately be judged by customer retention, MSP adoption, pricing clarity, integration quality and measurable administrative savings. A larger catalog alone does not prove better security or lower cost.

What remains unresolved

  • Whether Proofpoint and Hornetsecurity pricing and packaging will become unified.
  • How quickly product roadmaps and portals will converge.
  • Whether all existing regional data-residency arrangements continue on unchanged terms.
  • How Essentials customers will qualify for the announced upgrade path.
  • Whether the combined platform produces measurable savings compared with Microsoft-native or specialized alternatives.

Proofpoint’s public material reviewed for this article does not publish a universal price list. Buyers should request a geography-, user-count-, term- and channel-specific quote or trial through Proofpoint, a distributor or an MSP.

Proofpoint’s Hornetsecurity acquisition is best understood as a $1.8 billion channel, market-segment and Microsoft 365 platform expansion. The transaction closed on December 8, 2025; Hornetsecurity became the base of Proofpoint’s MSP Platform; and the most tangible follow-on step is the May 2026 North American launch of Proofpoint 365 Total Protection. Customers should expect continuity while verifying their own contracts, pricing, residency and migration options before making changes.
