Pine Labs priced its November 2025 IPO at ₹210–₹221 a share, implying a valuation of about $2.9 billion at the top of the range—below the $5 billion valuation reported for its 2022 private funding round. The company’s subsequent results show why international growth was central to its story: overseas operations supplied 17% of revenue in Q2 FY26, while Pine Labs later reported international revenue above ₹400 crore for FY26. Those figures describe growth and revenue contribution, not the profitability of its overseas markets.
How much was Pine Labs valued at for its IPO?
In November 2025, Pine Labs set an IPO price band of ₹210–₹221 per share. Reuters reported that the upper end implied a company valuation of approximately $2.9 billion, compared with $5 billion at the company’s last private fundraising round in 2022. The comparison is between an IPO price-band estimate and an earlier private-round valuation—not two public-market valuations. Reuters
The price band is historical context, not Pine Labs’ current market capitalization. The company’s shares subsequently listed on the NSE and BSE on November 14, 2025. A current share price or market value cannot be inferred from the IPO price alone.
Why was the IPO offer made smaller?
CEO Amrish Rau told Reuters that existing shareholders wanted to sell a smaller portion of their holdings at the selected price band. Reuters reported that, compared with earlier plans, the portion offered by existing investors fell 44% and the fresh issue fell 20%. Rau said the company had priced the offer “in such a way that we believe that we’ll have the goodwill of the ecosystem.” Reuters

That explanation concerns the offer’s size and the amount shareholders were willing to sell; it does not, by itself, explain the full gap between the IPO’s implied valuation and the 2022 private valuation.
What the IPO proceeds were intended to fund
The IPO included two distinct components: a fresh issue, which raises money for the company, and an offer for sale, which gives existing shareholders an opportunity to sell shares. Pine Labs’ Q3 FY26 shareholder results record a fresh issue of 94,129,524 shares aggregating ₹2,080 crore and an offer for sale of 82,348,779 shares worth ₹1,819.91 crore. The proceeds-use note included ₹60 crore for investments in overseas subsidiaries Qwikcilver Singapore, Pine Payment Solutions Malaysia and Pine Labs UAE, alongside allocations for debt repayment, IT assets, cloud infrastructure, digital checkout points, technology development, general corporate purposes and unidentified acquisitions. An allocation indicates intended use; it does not establish that all planned investments or expansion had been completed.
How much revenue came from overseas operations?
Q2 FY26: the quarter ended September 30, 2025
In a December 3, 2025 release, Pine Labs said overseas operations contributed 17% of revenue in Q2 FY26, up from 15% in Q2 FY25. The same release reported ₹650 crore in quarterly revenue from operations, an 18% year-over-year increase. FY26: the later full-year company report
In a release published May 25, 2026, Pine Labs reported international revenue above ₹400 crore, approximately 15% of total revenue, and a 44% three-year compound annual growth rate (CAGR) for its international business. It said it operated across 22 countries. These are company-reported figures; the release does not establish that each market or partnership was profitable or had reached material scale. These examples show disclosed partnerships and programs, but they do not provide comparable revenue, customer, or profitability figures for each country. CEO Amrish Rau framed the strategy as building infrastructure for merchants, financial institutions and brands, and said the company’s India-developed fintech model could be adopted in emerging markets. That is management’s strategic view, rather than independent evidence of future success.
What the valuation gap does—and does not—tell investors
The difference between $5 billion in the 2022 private-round comparison and about $2.9 billion implied at the top of the 2025 IPO price band shows that Pine Labs entered the public market at a lower stated valuation than its earlier private financing benchmark. It does not alone reveal why the valuations differed or how the stock performed after listing.
The operating figures add context to the company’s growth narrative: overseas revenue represented 17% of revenue in Q2 FY26, while Pine Labs’ later FY26 release put international revenue at about 15% of the full-year total. Those percentages cover different reporting periods, so they should not be read as a direct contradiction or a like-for-like trend. Revenue growth and a wider country footprint also do not establish overseas profitability.
