Yes. Pfizer announced in December 2023 that it had received all required regulatory approvals to acquire Seagen. The deal closed on December 14, 2023—two days after Pfizer reported that the U.S. Hart-Scott-Rodino waiting period had expired.

When did Pfizer announce, receive approval for, and close the Seagen deal?

Regulatory clearance and closing were separate milestones: the approval process concluded before the transaction was completed. The European Commission described the transaction as Pfizer acquiring sole control of Seagen, a biotechnology company developing and commercialising targeted cancer therapies. What were the deal terms?

Pfizer’s announced offer was $229 in cash for each Seagen share, subject to exceptions in the merger agreement, and approximately $43 billion in enterprise value. These figures describe different measures. Pfizer’s 2024 Form 10-K, reporting fiscal year 2023, listed $43.4 billion as cash paid for the Seagen acquisition, net of cash acquired. What did the acquisition mean for Seagen and Pfizer?

Seagen did not remain an independent public company after the closing: it became a wholly owned Pfizer subsidiary. Pfizer presented the acquisition as a way to strengthen its position in oncology. That was the company’s strategic rationale, not evidence by itself of later commercial performance or improved clinical outcomes.

In its December release, Pfizer quoted chairman and CEO Dr. Albert Bourla saying the completion of regulatory reviews “supports our belief that this transaction is good for patients in the battle against cancer.” This is Pfizer’s stated view, not an independently established outcome.
