Perplexity AI did submit a real proposal on January 18, 2025, to merge with TikTok’s U.S. business. But the proposal was not a completed acquisition, and Perplexity was not named among the investors in the TikTok U.S. joint venture announced in January 2026.
The bid arrived just before a U.S. law’s January 19, 2025 deadline requiring ByteDance to divest TikTok’s U.S. operations or face restrictions that could make the app unavailable. Perplexity’s reported idea was to combine its AI search company, TikTok U.S., and new equity partners in a newly created entity while allowing many existing ByteDance investors to retain stakes.

The short version

- Outcome: TikTok’s January 2026 ownership announcement named Oracle, Silver Lake, MGX, ByteDance and other investors—but not Perplexity.
Accordingly, the most accurate description is that Perplexity submitted a bid. It did not buy TikTok or complete a merger with it.
TechCrunch reported the initial proposal based on a source familiar with the offer.

What exactly did Perplexity propose?
The January 18 proposal reportedly contemplated a newly created entity combining:
- Perplexity AI;
- TikTok’s U.S. operations;
- new equity partners, including New Capital Partners LLC; and
- continued equity participation for most existing ByteDance investors.
This was not described as a purchase of global TikTok. The reported target was the U.S. business, whose operations, ownership and technology would have needed to be structured separately from ByteDance’s broader international operations.
The word merge also matters. A merger generally combines businesses into a new or continuing corporate structure. A sale or divestiture transfers control of an operation to a new owner. A joint venture gives ownership and governance rights to multiple parties. These concepts can overlap in a complicated transaction, but they are not interchangeable—and the headline did not mean that Perplexity and TikTok became one operating company.

Why would Perplexity want TikTok?
The reported strategic rationale was to bring more video into Perplexity’s AI search engine. TikTok could have provided:
- a large library of short-form video;
- user-generated demonstrations, explanations and reviews;
- searchable multimedia content;
- a powerful discovery and recommendation system; and
- access to a consumer audience beyond conventional web search.
That logic is an inference from the reported proposal, not evidence of a completed product plan. Available reporting says Perplexity hoped to integrate more video into search; it does not establish exactly how the technical integration would have worked.
For Perplexity, the attraction would have extended beyond owning video files. TikTok’s value comes from the combination of its content, audience, creator network, recommendation technology and user behavior data. Acquiring or partnering with the U.S. operation could have given a relatively young AI search company immediate consumer distribution at a scale it did not otherwise possess.

It would also have created substantial obligations. Running a major social-video service would expose Perplexity to content moderation, copyright, privacy, misinformation and platform-safety issues far beyond those associated with an AI answer engine.
Why propose a merger instead of an outright sale?
A merger structure could have been more acceptable to ByteDance than a conventional sale because existing ByteDance investors might retain equity in the new company. That could allow them to preserve some economic interest in TikTok’s U.S. business rather than surrendering it entirely.
Reuters-syndicated reporting published by the Taipei Times described the proposal as a possible way to address ByteDance’s reluctance to sell TikTok outright.
Retaining equity, however, is not the same as retaining control. Regulators would have needed to examine at least five separate questions:
- Ownership: Who held the economic interests in the new entity?
- Voting rights: Who could approve major corporate decisions?
- Board control: Who appointed directors and senior management?
- Data governance: Who could access U.S. user data and under what safeguards?
- Technology and algorithm control: Who controlled the recommendation system, source code, updates and technical services?
Changing the label from “sale” to “merger” would not automatically solve those issues. The practical legal question was whether the resulting structure would provide genuine U.S. control and independence under the applicable law.
The January 2025 legal and political deadline
Perplexity made its initial proposal on January 18, one day before the January 19 effective date associated with the Protecting Americans from Foreign Adversary Controlled Applications Act. The law required ByteDance to divest TikTok’s U.S. business or face restrictions that could prevent the application from continuing normally in the United States.

Those events should not be collapsed into a single transaction. The law created the pressure to find a solution; executive enforcement decisions and negotiations over ownership were separate matters.
TikTok warned that it could go dark without assurances that the law would not be enforced. The service became temporarily unavailable to U.S. users around the January deadline before returning. President-elect Donald Trump also indicated that he was likely to provide a 90-day extension after taking office, adding time for possible transaction discussions.
In that environment, Perplexity’s proposal was an attempt to address an urgent legal and commercial problem. It was not proof that the transaction met the law’s requirements or that ByteDance had agreed to it.

On January 26, 2025, TechCrunch reported a revised Perplexity proposal that could have given the U.S. government as much as a 50% stake in the new entity after an initial public offering of at least $300 billion. The report also described a structure under which ByteDance might retain ownership.
These were reported proposal terms, not terms of a completed deal. The public record summarized in the available reporting does not establish that the 50% concept became a binding commitment, how the stake would have been financed, or what precise rights it would have carried.
The $300 billion figure should likewise not be treated as an independently validated valuation. An IPO threshold, enterprise value, equity value and capital actually committed are different concepts. A proposed IPO at or above a particular amount would not by itself prove that the combined business was worth that amount or that investors were prepared to fund it.

The revised structure also raised difficult questions:
- Would the government have owned the stake directly, or would it have represented U.S. investors?
- How would the government interest have been financed and governed?
- Would government ownership create constitutional, political or operational complications?
- Would ByteDance’s continuing rights be compatible with a genuine divestiture?
- Would the proposal have allowed ByteDance personnel to provide technical support?
- Could the arrangement separate U.S. data and algorithmic decision-making sufficiently to satisfy regulators?
Why the proposal faced major obstacles
Foreign ownership and control
The central concern was not simply who supplied the purchase money. Regulators would have focused on whether ByteDance or other foreign parties retained meaningful control over the U.S. operation through voting rights, contractual arrangements, board influence, technology agreements or personnel.
Algorithmic independence
TikTok’s recommendation algorithm is central to the service’s appeal. A transaction would have needed to clarify whether the algorithm was transferred, licensed, retrained, replaced or operated through a separate system. It would also have needed to address access to source code, updates, model inputs and technical expertise.
A U.S. owner could not necessarily preserve TikTok’s product quality simply by acquiring its video library. Much of the platform’s value lies in the system that matches videos with viewers.
Data governance
The structure would also have needed clear rules for storing and accessing U.S. user data. Key questions would include where the data was held, which personnel could access it, how security controls were enforced and whether ByteDance continued to provide services affecting the U.S. platform.

Perplexity’s bid would have required substantial financing and a workable valuation of a combined AI-search and social-video business. The reported $300 billion IPO condition made the financing question especially prominent, but it was not evidence that such an offering was achievable.

Operational integration
Combining an AI search company and a large social platform would have been strategically ambitious. Perplexity might have gained content and distribution, but it would also have inherited a complex consumer service with moderation, creator, advertising, privacy and regulatory responsibilities.
What happened to the bid?
No completed Perplexity-TikTok transaction is identified in the available record. The later ownership announcement pointed to a different structure.
On January 23, 2026, TikTok announced that TikTok USDS Joint Venture LLC had been established, enabling the service to continue operating in the United States. The announced ownership was:

The TikTok Newsroom announcement identified Oracle, Silver Lake and MGX as the principal managing investors and stated that ByteDance retained a 19.9% interest. Axios described the new structure as majority American-owned.
Perplexity was not named in that finalized ownership announcement. The careful conclusion is therefore that Perplexity’s proposal was not reflected in TikTok’s January 2026 finalized U.S. ownership announcement. That absence does not, by itself, document a formal rejection or explain every private negotiation that may have occurred.
Coverage placed the transaction’s closing or finalization on January 22–23, 2026, depending on whether it referred to the closing date or the public announcement date. TikTok publicly announced the joint venture on January 23.
What this means for readers evaluating the headline
The headline can be misleading if read as an acquisition announcement. A bid is an offer or proposal, not ownership. Until a transaction closes, the parties still need to agree on definitive documents, financing, regulatory approvals, governance, technology arrangements and operational separation.

Finally, the story is not simply about two technology companies. It sits at the intersection of AI search, social-media economics, foreign-investment restrictions, national-security policy and platform governance. Perplexity’s proposal attempted to align several competing interests: ByteDance investors’ desire to preserve value, U.S. demands for domestic control, Perplexity’s need for content and distribution, and the urgency created by the January 2025 deadline.
