OpenAI’s $3 Billion Windsurf Deal Collapsed: What It Means for AI Coding and GitHub Copilot

OpenAI agreed to buy Windsurf for about $3 billion in 2025, but the deal collapsed. Google licensed technology and hired executives; Cognition acquired the remaining business.

OpenAI did not acquire Windsurf. Reports in May 2025 described an agreement worth about $3 billion, but the transaction never closed. Exclusivity expired in July; Google instead licensed some Windsurf technology and hired senior personnel, while Cognition acquired the remaining business. The episode shows why control of the developer workflow—not just access to a strong coding model—has become strategically valuable.

What OpenAI agreed to buy

Windsurf, formerly known as Codeium, built an AI-assisted coding product and development environment. Bloomberg Law reported on May 6, 2025, that OpenAI had reached an agreement to acquire it for approximately $3 billion, potentially OpenAI’s largest acquisition at that point. The report also made clear that the deal had not yet closed. Bloomberg Law’s report is the basis for those terms.

That distinction matters: an announced or agreed transaction is not the same as a completed acquisition. OpenAI never obtained the entire Windsurf company under that proposal.

Why Windsurf was strategically important

From models to the developer workflow

OpenAI already had coding-capable models. Windsurf could have supplied the product layer around them: an established developer user base, IDE integration, repository context, terminal and agent workflows, and a direct channel to software teams.

These layers are different:

  • General-purpose chatbot: answers questions and generates code in a conversational interface.
  • IDE assistant: offers inline completion, edits files and explains code inside an editor.
  • Autonomous coding agent: plans multi-file changes, runs commands and tests, and iterates with less continuous prompting.
  • Repository and workflow platform: connects code, issues, pull requests, permissions, CI/CD and deployment processes.

Owning an IDE or agent would have given OpenAI more control over where code is written, how models are invoked and what developer workflows are measured. It also could have created a more direct competitor to GitHub Copilot, Cursor, Claude Code and Devin. The strategic thesis was about distribution and workflow control as much as raw model quality.

Did Microsoft block the deal?

That claim is too definitive. The Information reported that Windsurf personnel had concerns about how the product would fit within OpenAI’s relationship with Microsoft, including provisions related to access to OpenAI technology and intellectual property. Those details were attributed to people familiar with the talks; the exact contractual restrictions and negotiating positions were not made public. The Information’s account supports saying Microsoft-related IP and technology-sharing issues complicated the transaction, not that Microsoft publicly vetoed it.

How the transaction unraveled

Date Event What it means
May 6, 2025 OpenAI agreement reported at about $3 billion A proposed acquisition, not a completed purchase.
July 11, 2025 Exclusivity period expired OpenAI and Windsurf did not close the deal, according to Fortune.
July 2025 Google arranged licensing and hires Google obtained a nonexclusive technology license and recruited senior personnel rather than buying the company.
July 14, 2025 Cognition acquired the remaining Windsurf operation The Devin maker bought the remaining business and assets.

What Google actually obtained

Reuters, in a report reproduced by TradingView, said Google paid approximately $2.4 billion in connection with a nonexclusive license to some Windsurf technology and related talent arrangements. Google hired CEO Varun Mohan, co-founder Douglas Chen and a small group of other employees. The reporting said Google did not take an equity stake in Windsurf.

Calling this a $2.4 billion acquisition—or saying Google bought Windsurf—would therefore be inaccurate. A nonexclusive license does not give Google exclusive ownership of the product, company or all of its intellectual property. See the Reuters account for the reported structure.

What Cognition acquired

Cognition, the company behind Devin, subsequently acquired Windsurf’s remaining operation. TechCrunch and ITPro described the deal as covering Windsurf’s product, intellectual property, trademark, business operations and remaining talent. The cited coverage did not disclose financial terms, so claims about a specific purchase price should not be treated as established.

Why this mattered for GitHub Copilot

OpenAI’s proposed purchase would have reduced its dependence on Microsoft and GitHub to reach developers. GitHub Copilot already sits inside a broad Microsoft ecosystem: repositories, pull requests, code review, Actions, permissions, enterprise administration and IDE extensions. It also supports models from multiple providers, rather than relying exclusively on OpenAI.

As listed on GitHub’s plans page viewed in August 2026, prices were:

Plan Listed price Typical positioning
Copilot Free $0 Individual evaluation with included limits.
Copilot Pro $10 per user per month Individual developers.
Copilot Pro+ $39 per user per month Individuals needing higher access and premium usage.
Business $19 per user per month Organizations requiring centralized management.
Enterprise $39 per user per month Large organizations with expanded controls.

Features, quotas and included models can change. GitHub’s billing documentation says one AI credit equals $0.01 and that model usage can have separate input, cached-input and output rates. Subscription price alone therefore does not predict the cost of heavy agentic or premium-model use. Check the official plans page and model-pricing documentation before budgeting.

What the episode means for AI-coding buyers

GitHub-heavy teams

Copilot is usually the lower-friction choice when a team already manages repositories, pull requests, Actions and permissions in GitHub. The benefit is an integrated administrative and review surface, not necessarily the best autonomous behavior for every task.

Teams seeking agentic, repository-wide work

An AI-native editor or coding agent may be preferable when multi-file planning, terminal execution and repository-wide context matter more than staying inside a conventional IDE. Migration costs include extensions, settings, team conventions, permissions and review processes.

Terminal-first developers

Claude Code is designed for repository and command-line workflows, including files, tests, issues and pull requests, according to Anthropic’s product page. Anthropic said auto mode would become the default for new Claude Code sessions on Pro, Max and Team plans beginning August 14, 2026, but plan economics still depend on the applicable subscription and usage terms.

Enterprise procurement checklist

  • Confirm whether code is retained or used for training, and where data is processed.
  • Check repository permissions, audit logs, identity integration and data-residency options.
  • Model premium requests, AI credits and token-based charges using realistic agent workloads.
  • Require human review, automated tests and security scanning for agent-generated changes.
  • Assess portability of prompts, rules, workflows and editor settings before standardizing.

The mistakes to avoid

  • Do not describe OpenAI as having acquired Windsurf.
  • Do not describe Google’s licensing and hiring arrangement as a purchase of Windsurf.
  • Do not present Microsoft-related IP concerns as a confirmed public veto.
  • Do not compare $3 billion and $2.4 billion as though they were equivalent acquisition prices.
  • Do not infer that a deal’s valuation proves Windsurf was technically superior to Copilot.
  • Do not treat an autonomous coding agent as a substitute for tests, review and security controls.

Bottom line for investors and engineering leaders

The important event was not an OpenAI acquisition. It was the failure of a proposed deal and the resulting split of Windsurf’s technology, talent and remaining business among different parties. OpenAI sought a direct developer-workflow foothold; Google secured a nonexclusive license and key hires; Cognition acquired the residual operation. GitHub Copilot retained the distribution advantage of Microsoft’s developer ecosystem, while OpenAI can still compete through models, Codex, partnerships and integrations. The market outcome remains open, but ownership, licensing and workflow control are now as consequential as model capability.
