Omnidian proposed paying $7 million in cash and assuming certain liabilities to buy ServiceCo, Sunnova’s residential solar servicing and operations-and-maintenance platform. Sunnova announced the stalking-horse agreement on July 9, 2025, as part of a court-supervised Chapter 11 sale process. The proposal covered a slice of Sunnova’s business—not the company as a whole—and the announcement alone does not establish that Omnidian ultimately bought it.
What was Omnidian proposing to buy?
The agreement covered ServiceCo, the part of Sunnova’s business responsible for residential solar servicing and operations and maintenance. Sunnova said Omnidian would take on customer-service and system-management obligations for a significant portion of Sunnova’s in-service customers. Sunnova’s July 9 announcement described the proposed consideration as $7 million in cash, plus assumption of certain liabilities.
That price was for the ServiceCo proposal, not for all Sunnova assets or the entire bankruptcy sale. Sunnova separately described AssetCo as a portfolio with approximately three gigawatts of power generation; that figure refers to AssetCo, not the ServiceCo assets proposed for Omnidian.
What does “stalking-horse bidder” mean here?
A stalking-horse agreement establishes an initial offer and baseline for a bankruptcy sale process. It is not, by itself, proof that the bidder becomes the final buyer. Sunnova said it would continue soliciting bids, with competing bids due July 21, 2025. The reviewed announcement does not establish the final disposition of Omnidian’s proposal.

How did the proposal fit into Sunnova’s bankruptcy sale?
Sunnova and certain subsidiaries filed voluntary Chapter 11 petitions on June 8, 2025, in the U.S. Bankruptcy Court for the Southern District of Texas. The company described a court-supervised process to seek the highest or otherwise best bids for its assets and operations in its June 9 announcement filed with the SEC.
The ServiceCo proposal was one path through that broader process, not a replacement for a separate stalking-horse agreement covering ServiceCo and AssetCo together. Sunnova said it could pursue a sale of ServiceCo on its own or as part of a combined transaction.

What did Sunnova say about customer continuity?
Sunnova CEO Paul Mathews said: “Throughout this process, maintaining continuity of service for our customers is our top priority as we work to secure a long-term solution for our business operations under new ownership.” That statement describes the company’s stated priority; it does not establish that every customer experienced uninterrupted service.

For customers, the proposed transfer was relevant because it included service and system-management duties for a significant portion of Sunnova’s in-service customers. The announcement did not identify every affected customer or establish the ultimate provider for any particular system.

For investors, the key distinction is between an initial bid and a completed sale. Reuters also reported the proposed $7 million price and broad customer-service obligations in its July 9, 2025 account. Any claim about who ultimately acquired ServiceCo or whether the transaction closed requires separate confirmation from later court or company records.
