They can include local production, subcontracting, technology transfer, or purchases of unrelated goods. In Foreign Military Sales (FMS), an offset obligation is separate from the government-to-government sale documents: it is an obligation accepted by the contractor, not the FMS Letter of Offer and Acceptance or FMS contract.
What counts as an offset?
U.S. acquisition guidance describes offsets broadly as industrial and commercial benefits offered to a foreign government to induce or condition a purchase of military supplies or services. Examples include coproduction, licensed production, subcontracting, technology transfer, in-country procurement, marketing or financial assistance, and joint ventures. See Acquisition.gov’s DFARS PGI 225.73 guidance.
The statutory definition of an “offset agreement” is narrower: it focuses on an arrangement in which a U.S. supplier agrees to buy or promote purchases of goods or services produced in the foreign country in consideration for that country’s defense purchase. The statutory text appears in Title 22, U.S. Code, Chapter 39. The broader acquisition examples and the statutory definition are related, but they should not be treated as identical legal descriptions.
Direct and indirect offsets
The key distinction is whether the benefit is connected to the defense item or service being sold. Acquisition.gov summarizes the categories: “There are two types of offsets: direct offsets and indirect offsets.”

These categories describe the relationship and form of the benefit, not a complete legal taxonomy. A transaction’s exact obligations depend on the agreement and applicable terms.
How offsets work in Foreign Military Sales
In FMS, a foreign government buys through a government-to-government arrangement. The U.S. government and the foreign government negotiate the purchase, while the contractor may separately accept an offset obligation imposed by the customer as a condition of purchase. Acquisition.gov states that this offset agreement is “distinct and independent” of the LOA and the FMS contract.

- The customer sets an offset condition. The foreign government may require industrial or commercial benefits in connection with a defense purchase.
- The contractor accepts the obligation. The accepted offset commitment is the contractor’s responsibility; it is not itself the government-to-government LOA or the FMS contract.
- The benefit is performed under the offset arrangement. The arrangement may involve direct activity related to the defense purchase or indirect activity outside it. The relevant agreement determines what must be delivered and on what schedule.
Acquisition.gov defines offset costs as contractor costs for direct or indirect offsets required explicitly or implicitly as a condition of purchase in a government-to-government defense sale. That does not mean the U.S. government necessarily negotiates, guarantees, or performs the contractor’s offset commitment.
How FMS differs from Direct Commercial Sales
The offset issue can arise in either sales channel, but the underlying buyer-seller relationship differs. The State Department’s archived overview describes FMS as negotiated between governments; in Direct Commercial Sales (DCS), the U.S. company and foreign buyer negotiate directly. Its overview also describes State’s Bureau of Political-Military Affairs managing FMS approvals alongside DSCA, with DSCA coordinating implementation of cases negotiated by the military services with U.S. contractors. Those process details are from the State Department’s archived 2021–2025 page, so current agency procedures may differ.

Why offsets are debated
Offsets can help a supplier compete for a foreign sale when the buyer makes them a condition of purchase. They may also increase production runs, which could lower unit costs for U.S. military buyers. These are possible mechanisms, not guaranteed results.

The other side of the debate is that offset-linked sourcing can shift work or business opportunities to foreign suppliers and may contribute to technology transfer or a more globalized defense industrial base. The U.S. Government Accountability Office (GAO) described these competing views in its 2004 analysis, Defense Trade: Issues Concerning the Use of Offsets in International Defense Sales. GAO cautioned that identifying effects on particular industries or the U.S. economy as a whole is difficult, so the overall net effect is not established by the cited analysis.

The official sources cited here do not establish a current, comprehensive aggregate value for U.S. offsets or a comparable current offset rate. GAO’s 2000 report documented differences in federal reporting periods and scopes, but that is historical context—not proof that no current data exists. FMS sales totals are not offset totals: they measure the value of sales, not the value of offset obligations or performance. Any useful figure needs a defined period, scope, and measure, such as obligations agreed, obligations completed, or reported offset-related purchases. Historical figures should not be presented as a current overall total without newer, comparable data.
