The ODP Corporation, which operates Office Depot, announced in October 2021 that it had sold CompuCom Systems to an affiliate of Variant Equity in a transaction valued at up to $305 million. ODP later reported that the sale closed on December 31, 2021. The announced value was not a statement that ODP received $305 million in cash at closing.
Who bought CompuCom, and when did the sale close?
ODP announced the sale on October 31, 2021, naming an affiliate of Variant Equity as the buyer. In its 2021 annual filing, ODP said the equity sale closed on December 31, 2021. ODP’s sale announcement described the transaction as valued up to $305 million; the 2021 annual filing provides the closing date and additional consideration details.
What did “up to $305 million” mean?
The phrase was the announced maximum transaction value, not a report of a $305 million cash payment received at closing. ODP’s filing describes an equity sale involving a $55 million interest-bearing promissory note and an earn-out, as well as adjustments related to cash, debt and working capital. The announcement and filing therefore describe a transaction with multiple components; they do not establish that the full headline value was paid in cash at closing.
What was CompuCom’s business?
ODP characterized CompuCom as a digital workplace technology solutions and IT services business. The sale was a corporate divestiture of a business serving technology needs, not a consumer computer product sale.
