NTT’s $16.3 Billion NTT Data Offer: What Was Announced and What It Means

NTT reported enough bids for its offer to buy the NTT Data shares it did not own, at ¥4,000 per share. Here’s the announced value, strategy and status.

On June 20, 2025, NTT said it had secured enough bids for its offer to buy the NTT Data Group shares it did not already own. Bloomberg reported a price of ¥4,000 per share and a total deal value of ¥2.37 trillion, or about $16.3 billion. Settlement was scheduled to begin June 26, 2025; that announcement alone does not confirm the transaction ultimately closed.

What NTT announced

NTT’s offer targeted the shares of NTT Data Group that NTT did not already own. At the time, Bloomberg reported that NTT held approximately 58% of NTT Data. The reported offer price was ¥4,000 for each remaining share, putting the transaction’s reported aggregate value at ¥2.37 trillion, approximately $16.3 billion using Bloomberg’s stated conversion. The dollar figure is a reported conversion, not a fixed value in other currencies.

NTT said it had received enough bids on June 20, 2025. Bloomberg reported that settlement was scheduled to start June 26. These are the announced milestone and timetable; the available reporting does not independently establish the final settlement or resulting ownership.

Why NTT wanted full ownership

Contemporaneous reporting described two aims: advancing NTT’s AI ambitions and simplifying the group’s corporate structure. Full ownership would bring NTT Data more directly within the parent group, aligning its enterprise technology capabilities with NTT’s telecommunications, network and data-center businesses. That is the reported strategic rationale, not evidence that the offer by itself produced later AI growth.

The transaction also came amid broader scrutiny in Japan of parent companies and listed affiliates, as Data Center Knowledge noted in its context on the deal. That backdrop helps explain why group structure mattered, but it does not establish that scrutiny alone drove NTT’s decision.

Did the takeover go through?

The cited June 2025 reports establish that NTT said it had secured enough bids and that settlement was scheduled to begin on June 26. They do not independently verify that settlement was completed or confirm the ownership outcome. So the carefully supported description is an announced offer with a scheduled settlement—not a confirmed completed takeover.

How the offer fits NTT’s later AI investments

NTT’s subsequent AI-infrastructure activity shows that the company continued investing in the field, but it is separate from the NTT Data offer and does not prove that the offer closed or caused those investments.

IOWN AI Fund

In June 2026, NTT announced the IOWN AI Fund with partners. Its stated scope spans photonics, semiconductors, advanced packaging, infrastructure management, software, AI models and applications. NTT said the fund was expected to reach approximately US$500 million (about ¥80 billion at the exchange rate stated in the release). The announcement described participation as preliminary and subject to definitive agreements.

Investment in iPronics

On September 9, 2026, NTT reported that the fund had made its first investment, participating in iPronics’ $125 million Series B financing. NTT described iPronics’ programmable optical circuit switching as technology for AI data-center networking. This is a specific later investment, distinct from the 2025 corporate offer.
