The Dutch government’s 2023 conclusion was retrospective: the minister said Nowi’s products did not meet the dual-use or military-goods criteria relevant to a possible review under the Investment Screening Act (Wet Vifo), so the transaction was outside that review scope and there were no statutory objections. This was not advance approval granted before the deal closed.
What Nexperia bought, and when
Nexperia’s 2022 sustainability report says it acquired 100% of the shares in Nowi Energy B.V., the parent company of Nowi B.V., in November 2022. Nexperia later reported that the entities were merged into Nexperia B.V., effective 8 September 2023. Nexperia sustainability reports
Nowi’s stated area was energy-harvesting power management for low-power applications. In its parliamentary answer, the Dutch government described Nowi’s chips as able to obtain energy from their immediate surroundings, such as light. Why the Dutch minister said no retrospective review applied
In 2023, the minister assessed whether the completed acquisition could be examined retrospectively under the Investment Screening Act, known in Dutch as Wet veiligheidstoets investeringen, fusies en overnames (Wet Vifo). For retrospective examinations of technology companies, the minister described the relevant scope as businesses working with dual-use technology and/or military goods.

The minister said Nowi’s products were not in either category: “The products of Nowi are not classified as dual-use products or military goods.” On that basis, the acquisition did not fall within the stated scope for retrospective examination, and no retroactive investigation was opened. What “cleared” means—and what it does not mean
The minister’s statement supports saying there were no statutory objections to the acquisition: “This means that there are no statutory objections to the acquisition of Nowi by Nexperia.” The conclusion followed an assessment after the November 2022 transaction, not a government authorization issued before closing. It is also a limited conclusion about the statutory category considered. It should not be read as a general finding that semiconductor acquisitions cannot raise security concerns, or that all such deals are exempt from screening.

The 2026 court action was not a decision about the Nowi acquisition and was not a final determination of mismanagement. Nor did it rule on the minister’s separate order under the Goods Availability Act.
