Mortgage REITs vs. Mortgage-Focused BDCs: How Their Business Models and Risks Differ

Mortgage REITs and mortgage-focused BDCs are different investment vehicles. Compare their legal frameworks, assets, funding, return drivers and company-specific risks before relying on yield or leverage figures.

A mortgage REIT and a mortgage-focused business development company (BDC) are different kinds of investment vehicle, not interchangeable labels for the same asset class. A mortgage REIT’s tax and regulatory framework shapes its real-estate-related investing; a BDC is a statutory investment-company category, and “mortgage-focused” describes a particular BDC’s strategy. To compare two companies, look at what each actually owns or lends against, how it funds those assets, and which risks its filings identify.

What the labels mean

Mortgage REIT: a tax and investment framework

A real estate investment trust (REIT) elects REIT tax treatment and must satisfy applicable asset, income and other qualification requirements. Mortgage REITs generally invest in mortgage loans, mortgage-related securities or both, but their structures and portfolios can differ. In its 2025 Form 10-K, AGNC Investment Corp. says it elected REIT treatment and relies on the Investment Company Act exemption in Section 3(c)(5)(C); those are disclosures about AGNC, not a template for every mortgage REIT. Mortgage-focused BDC: a statutory form plus a strategy

A BDC is a category defined under the Investment Company Act and subject to statutory conditions. “Mortgage-focused” describes the investment emphasis of a BDC; it is not a separate statutory subtype with one required portfolio. Depending on the company, its investments may include loans to mortgage originators or real-estate credit businesses, mortgage loans, or related debt. Its filings—not the label—establish what it actually owns and lends to. See the Investment Company Act definitions and BDC provisions.

How their business models compare

Funding and leverage May use repurchase agreements and other financing. In AGNC’s case, repurchase agreements are a principal financing method and often have short maturities; that is an issuer-specific example, not a rule for all mortgage REITs. Uses financing under the BDC framework and its own borrowing arrangements. Compare the named company’s asset coverage, debt maturities, secured and unsecured borrowing, facility terms and liquidity disclosures rather than importing a mortgage REIT leverage measure.
Risks to examine Interest rates and yield-curve changes, mortgage spreads, prepayment or extension behavior, hedging, funding availability and costs, collateral calls, liquidity, and credit losses on assets without a government or government-sponsored enterprise guarantee. Borrower or issuer defaults, collateral and recoveries, underwriting, concentration, non-accruals, valuation uncertainty, refinancing and funding costs, leverage and liquidity. Relative importance depends on the specific portfolio.

The table describes possible business-model differences, not fixed sector-wide rules. In particular, “mortgage assets” do not all carry the same risks. AGNC describes Agency RMBS as exposed to interest-rate and prepayment risk, while its credit-sensitive non-Agency and credit-risk-transfer assets can expose it to borrower-credit losses. Why funding and leverage matter

Leverage can increase income when asset returns exceed financing costs, but it also magnifies losses when asset values fall or borrowing costs rise. The funding mechanics can make a market shock a liquidity problem as well as a valuation problem. AGNC says repo financing rates are affected by short-term benchmark rates and liquidity in repo markets. It also warns that difficulty renewing agreements, higher collateral haircuts, collateral calls or falling asset values can force sales or otherwise strain liquidity. Other companies may have different funding mixes and terms.

AGNC’s 2025 Form 10-K says the company generally expects leverage within six to ten times tangible stockholders’ equity, while allowing that market conditions may take it outside that range. It reported a tangible net book value “at risk” leverage ratio of 7.2x as of December 31, 2025. These are AGNC-specific figures, and the reported ratio is tied to its stated calculation; neither is a sector average or automatically comparable with another issuer’s leverage measure. Which risks dominate for each kind of vehicle?

Mortgage REITs: market, funding and asset-specific risk

For a mortgage REIT, the relationship between mortgage-asset yields, financing costs and hedges is central. Changes in rates can affect both asset values and funding costs; mortgage spreads can widen; and borrowers’ prepayment behavior can change the timing and value of cash flows. Short-term or collateralized funding can add rollover and margin pressure. Credit exposure depends on the assets: Agency-backed securities are not the same as non-Agency or credit-risk-transfer investments, and a government or GSE guarantee should not be assumed for the latter.

Mortgage-focused BDCs: credit and portfolio risk

For a mortgage-focused BDC, the key questions often concern the creditworthiness of borrowers or issuers, the quality and enforceability of collateral, underwriting standards, concentration, non-accruals and recoveries. Valuation may also be uncertain when loans or related debt are not frequently traded. Funding costs, leverage, liquidity and refinancing remain relevant, but their importance depends on the BDC’s actual holdings and financing arrangements.

AGNC’s filing characterizes its own leverage risk this way: “Leverage, which is fundamental to our investment strategy, creates significant risks and amplifies our risk exposure to higher borrowing costs, changes in underlying asset values, changes in mortgage spreads, and other market factors.” This is the company’s statement in its 2025 Form 10-K, not a statement about every mortgage REIT or BDC. How to compare two specific companies

Use the latest annual report and other current filings for both companies. Keep the reporting date beside every figure, and do not compare ratios until you have checked how each company defines them.

  • Map the assets: Record major asset classes, seniority, borrower or issuer type, collateral and concentration. For mortgage securities, distinguish Agency guarantees from non-Agency or credit-risk-transfer exposure.
  • Identify the return drivers: Look for rate, spread and prepayment sensitivities, hedging approach, credit performance and the sources of income.
  • Read the leverage calculation: Note the definition, period and denominator, and check whether it is a target, a reported level or a risk measure. Do not assume similarly named ratios are comparable.
  • Trace the funding: Review counterparties, debt maturity schedule, secured and unsecured borrowing, collateral terms, facility conditions and cash or unencumbered assets.
  • Check credit and liquidity indicators: Review non-accruals, realized losses, valuation changes, recovery assumptions and liquidity disclosures.
  • Assess distributions in context: Compare dividend coverage with earnings and taxable-income disclosures, while recognizing that a high yield alone does not reveal the underlying risk.
