Microsoft’s board commissioned an outside review of the company’s sexual-harassment and gender-discrimination policies after shareholders approved a disclosure and accountability resolution in 2021. The review, conducted by ArentFox Schiff LLP, was broader than the earlier matter involving Bill Gates: it examined company policies, training, investigations, and accountability. Microsoft published the review and a management action plan on November 15, 2022.
What Microsoft announced—and what followed
On January 13, 2022, Microsoft said its board had hired ArentFox Schiff LLP, then known as Arent Fox, to conduct an independent review of the company’s workplace sexual-harassment and gender-discrimination policies and practices. This was a board-authorized external review, not simply an internal HR audit or a newly opened complaint investigation.
Microsoft said the work would result in a public transparency report and a summary of the company’s response. About nine months later, on November 15, 2022, Microsoft published ArentFox’s 50-page report and a management implementation plan addressing all 11 recommendations. Microsoft said limited confidential or privileged information was omitted. The report and plan are available in Microsoft’s announcement and the implementation plan PDF.
Why the board ordered the review
The immediate catalyst was a shareholder resolution approved at Microsoft’s November 2021 annual meeting. It called for greater disclosure and accountability concerning workplace sexual harassment; it received approximately 78% approval. Microsoft’s board had recommended voting against the proposal, then agreed to commission the outside review. The vote came amid employee concerns and questions about how the company handled misconduct allegations, including matters involving senior figures. The review should not be reduced to a response to the Gates matter. Its scope covered company-wide policies and practices, complaint handling, training, and accountability, as well as the handling of relevant senior-level investigations.
What employees had reported
One focus was a 2019 internal “In Need of Assistance” email thread in which employees raised concerns about workplace treatment. Secondary reporting described allegations that women were called derogatory names, women in technical roles were assigned administrative work, employees were put in compromising or humiliating situations, and some complaints were not adequately addressed by HR or senior personnel.

These were reported concerns, not findings that should be treated as proven violations simply because they were discussed in the thread. The review was tasked with assessing the concerns, Microsoft’s response, and whether additional safeguards were needed. GeekWire’s coverage summarizes the reported allegations.
How Bill Gates figured into the review
The review included the board committee’s handling of an earlier investigation concerning Microsoft co-founder Bill Gates. The earlier matter concerned a relationship between Gates and a Microsoft employee dating to around 2000. Gates left Microsoft’s board in March 2020.

Microsoft did not describe the 2022 review as a fresh investigation into Gates’s personal conduct. Rather, it was to assess how the company handled relevant investigations involving board members and senior leadership, including the Gates matter, and whether its governance and accountability processes were adequate. The distinction matters: an assessment of an organization’s handling of a past investigation is not itself a new fact-finding investigation into the underlying conduct.

The review covered the effectiveness of Microsoft’s workplace policies and training, its complaint and investigation processes, and how accountability was applied. Its scope included:

Microsoft said the review examined policies and procedures, analyzed investigation files, and involved interviews with relevant managers and employees. The law firm was retained by the board. GeekWire reported that ArentFox had not previously represented Microsoft in employment matters and had not done significant prior work for the company; that supports describing the work as externally conducted, but does not make it equivalent to a government investigation or remove the fact that the board commissioned it.

The implementation plan addressed all 11 recommendations and set deadlines for individual measures. Microsoft said it intended to complete the overall plan by the close of fiscal year 2023. The dates below are commitments in the plan, not independent confirmation that every measure was ultimately completed.

The proposed public data categories included coaching, training, formal warnings, compensation impacts, demotion, and termination. Such figures are not interchangeable: reports received, cases investigated, substantiated cases, and corrective actions are different measures. The plan’s distinction between formal policy violations and conduct inconsistent with Microsoft’s values also recognizes that a concern can be serious even when it does not meet the company’s threshold for a substantiated policy violation.
What the publication does—and does not—establish
Publishing the report and action plan fulfilled the core commitment to disclose the review’s findings and the company’s planned response. It did not make every complaint, interview, or legal document public; Microsoft said confidential and privileged material was withheld. Nor does a plan with deadlines, by itself, show that all measures were completed, that employees experienced a lasting improvement, or that Microsoft’s workplace was free of harassment or discrimination.
The episode is also a governance story: shareholders used a high-support vote to press for disclosure, the board commissioned an external assessment, and the resulting plan addressed policy clarity, senior-leader discipline, and case reporting. The public record cited here establishes the commitments and target dates, not a later verification of every implementation result.
