Microsoft’s January 2023 memo: 10,000 job cuts and a $1.2 billion restructuring charge

Microsoft’s January 2023 announcement covered approximately 10,000 job eliminations, hardware changes and office consolidation. Here’s how the $1.2 billion charge, employee support and AI strategy fit together.

On January 18, 2023, Microsoft announced plans to eliminate approximately 10,000 jobs by the end of its fiscal third quarter of fiscal 2023. The company said the reduction represented less than 5% of its workforce. Microsoft also recorded a $1.2 billion restructuring charge covering employee severance, hardware-portfolio changes and leased-office consolidation—not severance alone.

What Microsoft announced

CEO Satya Nadella outlined the cuts in an employee memo published January 18, 2023. The announcement combined three actions:

As an Amazon Associate I earn from qualifying purchases.

  • Eliminating approximately 10,000 jobs by the end of fiscal Q3 2023.
  • Changing Microsoft’s hardware portfolio.
  • Consolidating leased office space and moving toward higher-density workspaces.

Some employees were notified immediately, but Microsoft did not terminate all 10,000 roles on announcement day. The figure was a planned reduction over time, and the company described it as less than 5% of its employee base—not exactly 5%.

At the time, Microsoft had approximately 221,000 employees as of June 2022, compared with about 163,000 at the end of June 2020, according to the Associated Press. That pandemic-era expansion provides important context, but it does not establish that every person hired during that period was targeted by the cuts.

What Satya Nadella’s memo said

Nadella’s message presented the restructuring as an attempt to align Microsoft’s costs with customer demand while continuing to invest in long-term growth. Its central themes were:

  • Cost alignment: Customers were optimizing technology spending, and Microsoft said it needed to align its cost structure with revenue and changing priorities.
  • Targeted investment: Microsoft would continue investing in strategic areas, including new computing opportunities and artificial intelligence.
  • Employee support: Nadella said the company would treat affected employees with dignity, transparency and support.

The memo therefore described a reallocation rather than a universal retreat from hiring or technology investment. Microsoft said it would continue hiring in selected strategic areas even while eliminating roles elsewhere.

Why Microsoft said it was cutting jobs

Microsoft attributed the decision to macroeconomic conditions and changing customer priorities. In practical terms, that meant customers were becoming more cautious after the pandemic-era surge in technology spending and were looking for greater value from their investments.

Broader industry coverage placed the announcement within a technology-sector retrenchment driven by recession concerns, a post-pandemic hiring glut and closer scrutiny of cloud spending. Reuters’ coverage provides that wider context. Those factors help explain the environment, but Microsoft’s stated rationale was broader than recession alone.

What the $1.2 billion restructuring charge covered

Microsoft disclosed the charge in its January 18, 2023 Form 8-K. It was recorded in fiscal Q2 2023 and covered several types of restructuring costs:

Component What it covered
Employee severance Approximately $800 million, according to Microsoft’s later annual report.
Hardware portfolio Impairment and related costs associated with changes to Microsoft’s hardware plans.
Leased offices Lease-consolidation costs connected with reducing or rationalizing office space and increasing workspace density.

Calling the entire $1.2 billion “severance” is incorrect. Severance was the largest identified component, but the charge also included hardware and real-estate-related costs. Nor should the figure automatically be described as $1.2 billion in cash paid to employees on January 18; it was an accounting charge covering multiple costs incurred through the restructuring.

Financial impact: $0.12 initially, $0.13 for fiscal-year reporting

Microsoft’s announcement-period filing estimated that the charge would reduce fiscal Q2 diluted earnings per share by $0.12.

Its later 2023 Annual Report and FY2023 Form 10-K reported the charge’s fiscal-year effects as:

  • $1.2 billion reduction in operating income.
  • $946 million reduction in net income.
  • $0.13 reduction in diluted earnings per share.

These figures are not contradictory. The $0.12 figure was the contemporaneous estimate for the relevant fiscal quarter, while $0.13 was the later reported fiscal-year impact.

Which Microsoft teams were affected?

Microsoft did not publish a complete division-by-division breakdown of the 10,000 roles in its announcement or SEC filing. Reports identified effects across portions of the company, including gaming-related organizations and other groups, but those reports should not be treated as a complete official allocation.

The confirmed company-wide figure is approximately 10,000 planned job eliminations. It does not establish that all divisions were affected equally, nor does it support precise team-level totals without separate sourcing.

What support did affected employees receive?

For U.S. benefit-eligible employees, Nadella’s memo listed:

  • Six months of continued health-care coverage.
  • Six months of continued vesting of stock awards.
  • Career-transition services.
  • Sixty days’ notice before termination, regardless of whether legally required.

Outside the United States, arrangements were to be aligned with local employment laws. The U.S. package should not be generalized as identical for every Microsoft employee worldwide.

Why layoffs and AI hiring could happen at the same time

Microsoft’s mention of AI did not mean AI directly replaced the 10,000 affected workers. The memo presented AI and emerging computing as strategic areas where Microsoft intended to invest. At the same time, the company could reduce roles in lower-priority products, hardware or other functions and hire selectively in areas it considered more important.

That is why the announcement should be understood as a change in the mix of spending and talent—not as a blanket hiring freeze or proof that the cuts were caused by AI.

What the announcement meant

Microsoft’s January 2023 action was a broad cost-and-portfolio restructuring. It addressed headcount, hardware commitments and office leases while preserving targeted investment in cloud, AI and other strategic opportunities. The public filings establish the size and accounting impact of the restructuring, but they do not establish a realized savings figure or prove that the strategy succeeded.
