Re:

MediaLab Bought Imgur, Genius and Amino. Then Deferred-Payment Disputes Went to Court

MediaLab’s disputes with Imgur, Genius and Amino did not all end the same way: one settled confidentially, one produced a judgment, and one entered conditional settlement status.

MediaLab built a portfolio of internet properties by acquiring companies including Imgur, Genius and Amino. Several sellers or founders later alleged that deferred purchase payments, earn-outs or other promised consideration were not fully paid. But the cases do not have one uniform outcome: Imgur’s dispute settled confidentially, the Genius case produced a $1,027,985.40 judgment with conditions, and the Amino litigation entered conditional settlement status in 2025.

That record supports a pattern of serious payment disputes. It does not establish that every founder was denied payment, that MediaLab defrauded sellers, or that the company is insolvent.

What MediaLab was building

MediaLab was founded in 2018 by Michael Heyward and Brad Brooks, who had previously cofounded the anonymous-messaging app Whisper. The company pursued a roll-up strategy: acquire established internet properties, preserve their audiences and try to improve monetization, often through advertising.

Its portfolio included Genius, Imgur, Amino, DatPiff, Whisper and Kik. MediaLab also made substantial claims about its scale. Forbes reported that the company claimed 180 million monthly users and more than 22 billion monthly messages across three chat apps. Forbes also reported that MediaLab raised $200 million at a reported $1.1 billion valuation in 2021. Those figures were company claims or reported estimates, not independently audited measures established by the sources reviewed here.

The strategy created a familiar acquisition risk: a buyer may agree to pay part of the price later through an earn-out, installments, stock, advertising credits or a services arrangement. If the buyer and seller disagree about performance, valuation or contract conditions, the deferred portion can become the center of litigation.

MediaLab’s relevant acquisitions and disputes

Company Business Reported transaction detail Current public status
Genius Music lyrics and annotation Reported $80 million sale in 2021 Judgment entered for cofounder Tom Lehman; appeal-related litigation followed
Imgur Image hosting and sharing Founder Alan Schaaf alleged an $8 million earn-out was withheld Settled in June 2023 for an undisclosed amount
Amino Community and social-network app Complaint-related allegations described a $17.5 million deal, including $10 million upfront Conditional settlement status entered in September 2025
DatPiff Mixtape platform Separate acquisition-related payment dispute $400,000 judgment reported in July 2021
Whisper Anonymous messaging Previously cofounded by Heyward; later became a MediaLab asset Portfolio context, not one of the three central founder-payment disputes
Kik Messaging app Another major MediaLab asset Portfolio context

These transactions were not necessarily structured alike. A reported sale price, for example, may combine cash, stock, deferred consideration, earn-outs or other obligations. It should not automatically be treated as cash paid at closing.

The Imgur dispute: an $8 million earn-out allegation

In April 2023, Imgur founder Alan Schaaf sued MediaLab, alleging that the company attempted to withhold an $8 million earn-out. An earn-out is consideration that becomes payable only if specified conditions are met, such as revenue, user or other performance targets.

The case settled in June 2023 for an undisclosed amount. That means the public record does not establish whether MediaLab breached the agreement, whether Schaaf received the full amount claimed, or what contractual interpretation led to the settlement. A settlement is not a court finding that either side was right.

The careful description is therefore: Schaaf alleged that an $8 million earn-out was unpaid, and the dispute later settled confidentially.

The Genius dispute: a later judgment changed the picture

Genius cofounder Tom Lehman alleged that MediaLab failed to make multiple payments connected with Genius’s reported $80 million 2021 sale. MediaLab denied Lehman’s allegations in court filings and contested the lawsuit.

The important update came after the initial 2024 reporting. A judgment provided for $1,027,985.40, payable in 12 monthly installments beginning September 15, 2024. The judgment was subject to Lehman returning 51,220 MediaLab shares. That condition matters: the judgment was not simply an unconditional order for immediate payment of the amount alleged in the original dispute.

The judgment is a concrete legal outcome, but it does not by itself prove that every payment Lehman originally claimed was owed, nor does the available research establish whether every installment was ultimately paid.

A California appellate decision concerning the matter was filed on May 19, 2025. The appellate record located for this article is marked unpublished, so it should not be described as binding precedent.

The Amino dispute: cash, advertising credits and consulting consideration

Amino’s parent company, Narvii, alleged that MediaLab agreed to pay $17.5 million for the app in January 2020. According to the allegations reported in coverage of the case, $10 million was paid upfront, with additional consideration involving advertising credits and consulting-related payments.

Narvii alleged that MediaLab did not pay the remaining consideration. The structure is significant because advertising credits and consulting payments are not automatically equivalent to cash. Their value may depend on whether the credits were usable, transferable or subject to expiration, and whether consulting payments depended on continued work or other conditions.

The available material does not establish the full language of the underlying agreements or all of MediaLab’s defenses. Forbes reported that MediaLab had not filed a response in the Amino case at the time of its 2024 article.

The case later moved beyond the “ongoing” status described in that coverage. The Los Angeles County docket summary shows conditional settlement status entered on September 29, 2025. Settlement-related dismissal proceedings were listed on December 1, 2025, and January 14, 2026. The available summary does not disclose the settlement amount, final terms or ultimate dismissal date.

Where the cases stand

  • June 2023: The Imgur dispute settled for an undisclosed amount.
  • 2024: The Genius dispute resulted in a $1,027,985.40 Rule 68 offer and judgment, structured in 12 installments and subject to the return of 51,220 MediaLab shares.
  • May 19, 2025: A California appellate decision concerning Lehman’s case was filed; the located decision is unpublished.
  • September 29, 2025: Narvii’s Amino-related case entered conditional settlement status.
  • December 1, 2025 and January 14, 2026: The Amino docket listed settlement-related dismissal proceedings, without disclosing the settlement terms in the available summary.

The wider pattern goes beyond the three companies

The 2024 investigation also described disputes involving DatPiff’s founders, debt fund Corbel Capital, analytics company Mixpanel over an alleged $96,000 bill, and software developer HTEC over an alleged $260,000 claim. Other suppliers and contractual counterparties were also reported to have raised payment-related complaints.

DatPiff is particularly relevant because its team reportedly obtained a $400,000 judgment against MediaLab in July 2021.

These matters should not be treated as interchangeable. Founder acquisition-payment disputes concern deferred purchase consideration. Lender litigation concerns financing obligations. Vendor claims concern unpaid services or invoices. Content, privacy and moderation controversies involving MediaLab properties are another category altogether.

Taken together, the disputes may suggest operational or liquidity pressure and raise questions about cash management. They do not, on their own, prove insolvency, bankruptcy or an inability to pay every obligation.

Why deferred acquisition payments become contentious

Acquisitions often use deferred consideration to bridge a valuation gap or preserve the seller’s incentive to keep the business growing. Common structures include:

  • Earn-outs: additional payments tied to revenue, profit, users or another target.
  • Installments or seller notes: purchase price paid over time rather than entirely at closing.
  • Stock consideration: shares whose value may change after the transaction.
  • Advertising credits: promotional inventory that may have restrictions and may not be readily convertible to cash.
  • Consulting agreements: payments made for post-closing services, potentially subject to separate performance conditions.

That distinction affects both the economics and the legal analysis. A seller may say the buyer withheld purchase price; a buyer may argue that payment depended on a condition that was not met, that the amount was calculated differently, or that a separate services agreement was breached. Without the underlying contracts and the parties’ complete filings, it is unsafe to collapse every dispute into “the acquisition price was never paid.”

What the public record establishes—and what it does not

Matter Reported allegation Response or qualification Public outcome
Imgur $8 million earn-out allegedly withheld Settlement, not a merits finding Confidential settlement in June 2023
Genius Several payments allegedly missed MediaLab denied the allegations in court filings $1,027,985.40 judgment with installment and share-return conditions
Amino Deferred consideration allegedly unpaid after a $10 million upfront payment Reported consideration included advertising credits and consulting payments Conditional settlement status in September 2025; terms unavailable in the researched docket summary
DatPiff Separate payment dispute Reported in broader coverage $400,000 judgment in July 2021

MediaLab declined to comment to Forbes on several disputes. In the Genius litigation, it denied Lehman’s allegations. That is materially different from an admission that it could not pay, and the available sources do not support describing MediaLab as having systematically defrauded founders.

The public record also does not establish that every acquisition payment was withheld, that the confidential settlements equaled the amounts claimed, that MediaLab is currently insolvent, or that all installments under the Genius judgment were paid.

What founders and buyers can learn

For founders selling a company, the key issue is not only the headline purchase price. The contract should define exactly when deferred consideration is due, how performance is measured, what information the buyer must provide, whether the buyer can change the business to affect an earn-out, and what happens if the buyer misses a payment.

Non-cash consideration deserves especially careful drafting. Advertising credits should have clear rules for availability, expiration, valuation and transferability. Consulting payments should specify the services, term, termination rights and whether they are part of the purchase price or a separate arrangement. Stock consideration should address issuance, restrictions and remedies.

For buyers, the disputes illustrate the importance of maintaining acquisition reserves, documenting earn-out calculations and separating operating disagreements from payment obligations. A roll-up model that depends on future monetization or refinancing can become vulnerable when several deferred obligations mature at the same time.
