Koch completed its acquisition of a 50% interest in Jorf Fertilizers Company III (JFC III) from Morocco’s OCP Group on June 30, 2022, creating a 50/50 joint venture. The facility makes phosphate-based fertilizers in Jorf Lasfar, Morocco. This is a completed transaction—not the separate JFC I agreement announced in 2026.

What did Koch acquire?

Koch Ag & Energy Solutions acquired, through an affiliate, half of JFC III from OCP Group. The transaction created an equal joint venture between the two companies. The parties announced the agreement on March 2, 2022, subject to customary closing conditions, and confirmed its completion on June 30, 2022. Koch’s announcement of the agreement and its closing announcement describe the transaction.

What is JFC III?

JFC III owns and operates an integrated phosphate fertilizer production facility at Jorf Lasfar, Morocco. Koch and OCP described the facility’s capacity as up to 1.1 million metric tons of phosphate-based fertilizer annually. That is a stated capacity, not a report of actual yearly production.

How was the partnership expected to work?

Koch’s 2022 agreement announcement said OCP and Koch Fertilizer, LLC would market the facility’s production. It also described cooperation involving ammonia and sulfur supply to OCP and logistics for fertilizer exports from Morocco. The announcement did not provide a purchase price or detail the venture’s governance arrangements, such as board composition or voting rights.

How does the 2026 JFC I agreement differ?

On July 17, 2026, Koch and OCP Nutricrops announced a separate agreement for Koch to invest in Jorf Fertilizers Company I (JFC I). The proposed JFC I venture is distinct from the completed JFC III transaction. Koch’s announcement calls the earlier JFC III venture “Kofert” and says the two ventures would have combined capacity of approximately 2.5 million metric tons annually if the JFC I transaction closes. That combined figure is conditional on closing; it is not a description of JFC III alone. Koch’s 2026 announcement covers the JFC I agreement.

What does the deal establish—and what does it leave unanswered?

The public announcements establish the parties, the 50/50 ownership structure, the closing date, the facility’s location and product category, and the stated production capacity. They do not disclose the transaction price or specific governance terms. They describe industrial fertilizer production; they do not identify a consumer retail brand or confirm that JFC III fertilizer is sold in retail marketplaces.
