Klarna’s 2025 IPO: What the $1.4 Billion Offering Meant for Klarna and Sequoia

Klarna priced its September 2025 IPO at $40 a share, and KLAR closed its first trading day at $45.82. The roughly $1.4 billion headline described shares sold in the offering—not money Klarna itself received. The company’s later SEC-filed annual report said it netted $169 million after offering costs. Sequoia was reported as Klarna’s largest investor, but its IPO-era ownership estimate varied by source, and the available figures do not establish how much cash it realized.

How much did Klarna raise in its IPO?

Klarna’s September 9, 2025 pricing announcement set the IPO price at $40 per ordinary share and covered 34,311,274 initial shares. At that price, the initial offering was worth about $1.37 billion before underwriting discounts and other costs—commonly rounded to $1.4 billion. That total combined newly issued shares and shares sold by existing shareholders; it was not all capital raised for Klarna. Klarna’s pricing announcement provides the share allocation and terms.

The selling shareholders also granted underwriters a 30-day option to buy up to 5,146,691 additional shares to cover over-allotments. Klarna’s 2025 Form 20-F, filed with the SEC in 2026, records that the IPO completed on September 10, 2025, and that the additional shares were sold to underwriters on September 22.

How much money did Klarna itself get?

Klarna reported $169 million in net IPO proceeds after underwriting discounts and other offering costs. Its Form 20-F lists those costs at $22.41 million. This issuer-proceeds figure is distinct from the value of all shares sold: most of the initial shares came from existing holders rather than Klarna. Klarna’s SEC-filed 2025 Form 20-F reports the completed offering and proceeds.

That distinction matters when interpreting a headline “raise.” A company receives proceeds from shares it issues, while shareholders who sell existing shares receive the proceeds from their own sales, subject to applicable costs and arrangements. The $1.4 billion headline is therefore not a measure of the new funding available to Klarna.

How did KLAR trade on its first day?

KLAR began trading on the New York Stock Exchange on September 10, 2025. The Associated Press reported an opening price of $52, an intraday high of $57, and a close of $45.82. The close was 14.6% above the $40 IPO price. These are historical prices for the debut session, not current market data. The Associated Press’s September 10, 2025 report covered the trading debut.

The opening, high, and close describe different points in that session. The close is the clearest measure of where the stock finished on its first day; the opening price and intraday high should not be substituted for it. AP also reported that specialists on the NYSE floor took about three and a half hours to price the first batch of trades.

Why did Klarna stock pop after its IPO?

The first-day close above the offer price means investors were willing to trade KLAR at a higher price by the end of the debut session. The move does not, by itself, establish why buyers valued the shares more highly, whether the valuation was sustainable, or how the stock performed afterward. Klarna described itself in its IPO announcement as a global digital bank and flexible payments provider, while the offering gave public-market investors a way to buy its shares.

In the same announcement, Klarna said it had approximately 111 million active consumers and approximately 790,000 merchants in 26 countries as of June 30, 2025. It reported $112 billion in gross merchandise volume for the twelve months ended that date. These are company-reported operating measures with those specific dates, not independent measures of profitability or proof of what drove the first-day price.

How much of Klarna did Sequoia own, and did it cash out?

Contemporary IPO coverage identified Sequoia as Klarna’s largest investor, but the reported ownership estimates differed. AP put its stake at 21% and valued it at roughly $3.15 billion at the $40 IPO price; TechCrunch described Sequoia as controlling nearly 23% after the IPO. Those are attributed estimates from September 2025, not a single definitive current ownership figure. TechCrunch’s September 10, 2025 coverage reported its estimate.

A stake’s value at the offer price is a marked value, not cash in hand. The cited reporting does not provide Sequoia’s complete acquisition-cost history or quantify all shares it may have sold in the offering, so it cannot establish Sequoia’s realized gain or investment multiple. Calling it the “biggest winner” is best understood as a reference to the reported value of its large holding at the IPO, not proof of a realized return.

Other shareholder figures were also reported around the IPO. AP said CEO and co-founder Sebastian Siemiatkowski did not sell shares in the offering. TechCrunch likewise reported no sale and estimated his stake at about 7.5% at the offering price. AP reported co-founder Victor Jacobsson’s stake at 8.4% at the IPO price; TechCrunch reported that he sold 1.1 million shares but retained more than 8%. These figures are source- and date-specific, rather than current ownership data.

What to keep separate when reading IPO headlines

  • Primary shares and secondary shares: Klarna sold 5 million new shares initially; existing holders sold 29,311,274.
  • Total offering value and issuer proceeds: The roughly $1.4 billion headline covered the initial shares sold; Klarna later reported $169 million in net proceeds.
  • Offer price and debut-session prices: $40 was the IPO price; $52 was the reported opening, $57 the intraday high, and $45.82 the close on September 10, 2025.
  • Marked stake value and realized cash: Sequoia’s reported ownership value at IPO pricing does not show its full cash proceeds or return.
