Khaby Lame’s AI-twin arrangement was announced alongside a proposed acquisition of his company, but the figures have different meanings: a January 9, 2026 SEC filing states $975 million in share consideration, while $900 million was a minimum valuation condition. Rich Sparkle Holdings later said it had completed the acquisition. Its release describes Lame authorizing use of his face, voice and behavioral models for an AI digital twin, but the available announcements do not establish that a twin has been deployed or generated revenue.
Why the deal is described as a $900 million transaction
The $900 million figure was not the stated purchase consideration in Rich Sparkle Holdings’ January 9, 2026 Form 6-K. The SEC-filed agreement summary says the consideration for acquiring all issued shares of Step Distinctive Limited was US$975 million, payable through 75 million Rich Sparkle ordinary shares. Separately, the agreement made completion conditional, among other things, on the target being valued at no less than US$900 million to the company’s satisfaction. The SEC filing is the source for both figures.
In other words, $975 million was the stated value of the share consideration in the agreement; $900 million was a minimum valuation condition. Neither figure should be read as cash paid to Lame. The filing describes shares issued to the vendors as consideration.
What is known about the transaction’s status
The January 9 filing describes an agreement to acquire Step Distinctive, subject to conditions including due diligence and stock-exchange approval for dealing in the consideration shares. On January 11, Rich Sparkle announced that it had completed the acquisition in a company release hosted by Nasdaq.

Those statements come from different dates and sources: the filing summarizes a conditional agreement, while the later company release asserts completion. The reviewed materials do not explain how the listed conditions were satisfied or detail the closing mechanics, so the completion claim is best attributed to Rich Sparkle’s announcement.
What the company says the AI twin is authorized to use
Rich Sparkle’s January 11 release says Lame authorized use of his “Face ID, Voice ID, and behavioral models” for AI Digital Twin development. That is the company’s description of the authorization; the SEC agreement summary does not independently detail those AI terms.

The release presents multilingual and multiple-version content production, as well as virtual livestream commerce across time zones and schedules, as intended uses. These are prospective applications described by the company, not evidence that a functioning twin has been launched.
How Step Distinctive and the operating partner fit in
The SEC filing describes Step Distinctive and its subsidiary as operating in e-commerce livestreaming, supply chain, livestream operations and commercialization. It says Lame directly and indirectly controlled 49% of Step Distinctive’s issued share capital before the transaction; that is not a majority stake.

Rich Sparkle’s release describes a 36-month cooperation period in which Anhui Xiaoheiyang Network Technology Co., Ltd. would hold exclusive global full-chain operating rights. The stated scope includes livestream and short-video commerce planning, TikTok Shop operations, supply chain, fulfillment, after-sales, brand endorsements and commercial development of the AI twin. These details describe the announced operating arrangement, not independently verified performance.

The reviewed announcements do not establish whether an AI twin has been completed or deployed, what review or labeling process would govern its outputs, what permission or withdrawal controls apply, or whether the arrangement has produced revenue. Rich Sparkle’s release also says prospective annual sales “could reach $4 billion”; that is a forward-looking company projection, not realized or independently confirmed revenue.

Audience figures should likewise be kept in context. Rich Sparkle’s January 11 release cited 360 million followers across platforms without stating a counting methodology. Le Monde reported more than 160 million TikTok followers in its February 1, 2026 article, a platform-specific figure from a later date. Neither measure is evidence of the AI twin’s commercial results. Le Monde’s report provides the dated TikTok figure.
