John Legere resigned from T-Mobile US’s board effective April 24, 2020, several weeks before his term was expected to end on June 4. T-Mobile said he was leaving “to pursue other options” and that his resignation was not prompted by a disagreement with the company’s management or board. The filing did not say what those other options were.

When did John Legere leave T-Mobile’s board?

Legere notified T-Mobile on April 24, 2020, that he was resigning from the board effective immediately. The company’s SEC filing said his board term was expected to end June 4, making his departure several weeks earlier than planned. T-Mobile’s April 24, 2020 Form 8-K is the primary record of the resignation and its stated reason.

Why did Legere resign?

T-Mobile’s filing said Legere was leaving “to pursue other options.” It also stated that he was not resigning because of any disagreement with T-Mobile’s management or board. The filing does not identify the options he intended to pursue, so it does not establish a specific next job, venture, or other plan.

How the CEO transition and board departure unfolded

The planned transition

In November 2019, T-Mobile announced that Mike Sievert would succeed Legere as CEO on May 1, 2020, after Legere’s contract concluded. The announcement also said Legere would remain on the board. T-Mobile’s November 18, 2019 Form 8-K records that plan.

The merger moved the CEO handoff forward

On April 1, 2020, T-Mobile announced that its merger with Sprint had closed and that Sievert had assumed the CEO role immediately, ahead of the previously announced May 1 date. The company said Legere would remain on the board through the annual meeting scheduled for June. T-Mobile’s April 1, 2020 merger-close announcement describes the accelerated CEO transition.

The board departure

Legere’s resignation took effect April 24, rather than at the expected June 4 end of his board term. That was a separate change from the CEO handoff, which had already occurred on April 1.

What Legere said

In the notice quoted in the SEC filing, Legere wrote: “It has been a privilege and honor to have led T-Mobile as CEO for the past seven and a half years and served on the Board of Directors. And although I will be leaving the Board just a few weeks earlier than planned, be assured that I remain T-Mobile’s #1 fan!” The filing attributes the statement to Legere in his notice to the company; it is signed on T-Mobile’s behalf by Executive Vice President and Chief Financial Officer J. Braxton Carter.

What “other options” meant

The available filing confirms the phrase Legere used but does not explain what it referred to. A contemporaneous GeekWire report from April 24, 2020 likewise described the early departure and the stated reason, without identifying a specific next step. The documented facts support the timing and stated explanation, not speculation about Legere’s plans.
