Amazon reached an intraday high of $200.43 that day, according to Reuters. The notice documented a planned sale, not proof that the proposed shares were all sold.
What Bezos proposed to sell
Bezos’s Form 144 listed 25,000,000 shares of Amazon.com, Inc. common stock and an aggregate market value of $4,930,000,000. It gave July 2, 2024, as the approximate sale date. The filing’s $4.93 billion figure is the basis for the rounded $5 billion headline; it is the proposed block’s stated value, not confirmed proceeds.
The SEC Form 144 is explicitly titled “NOTICE OF PROPOSED SALE OF SECURITIES PURSUANT TO RULE 144 UNDER THE SECURITIES ACT OF 1933.” Its wording matters: a notice of a proposed sale is not a report confirming completion.
Was the proposed $5 billion sale completed?
The Form 144 alone does not establish that Bezos sold all 25 million shares, or confirm the final number sold or proceeds received. It records a proposed transaction. Confirming execution would require separate evidence of completed sales; the notice should not be treated as that evidence.

What Amazon’s record price meant that day
Reuters reported that Amazon shares reached an intraday high of $200.43 on July 2, 2024, a record at the time. GeekWire reported a $200 closing price, the highest close since Amazon’s 1997 Nasdaq listing. An intraday high and a closing price are different measures, so the $200.43 figure should not be described as the closing price.

The trading plan was adopted months earlier
The Form 144 lists March 2, 2024, as the date Bezos adopted the Rule 10b5-1 trading plan associated with the proposed sale. That timing means the filing does not show that he devised the plan in response to Amazon’s July 2 record price. It does not, by itself, establish his motive.

Reuters estimated Bezos would own about 912 million Amazon shares, or 8.8% of the outstanding shares, after the planned sale. This was Reuters’ conditional estimate—not a figure stated in the Form 144 and not confirmation that the sale was completed.
