Jazz announced on July 14, 2026, that the transaction and mandatory tender offer were complete, with JIHL holding 76.33% of TPL Insurance’s issued share capital.
Who acquired TPL Insurance?
The acquirer is Jazz International Holding Limited, a VEON subsidiary. The proposed acquirer was initially described in a September 2025 announcement as VEON Group Holding Company Limited and/or affiliated entities; a later addendum identified JIHL as the acquiring entity. The addendum is available through the Pakistan Stock Exchange-hosted disclosure.
This is a completed acquisition, not a pending proposal. Jazz announced completion on July 14, 2026, including the mandatory tender offer, and reported that JIHL then held 76.33% of TPL Insurance’s issued share capital. See Jazz’s completion announcement.
How the transaction reached completion
- September 8, 2025: The original public announcement named VEON Group Holding Company Limited and/or affiliated entities as proposed acquirer; a subsequent addendum identified JIHL.
- February 11, 2026: The Securities and Exchange Commission of Pakistan announced approval of JIHL’s acquisition of a controlling stake. SECP announcement.
- March 5–6, 2026: JIHL and TPL Corp entered into a share purchase agreement, disclosed by TPL Corp on March 6. The disclosure said regulatory approvals and the public offer process were still required. TPL Corp disclosure.
- April 13, 2026: The Competition Commission of Pakistan authorized the acquisition after a Phase-I review. Its account described both a share purchase agreement and a mandatory tender offer. CCP announcement.
- April 2026: The public offer document set out the share purchase and tender offer terms. Public offer document.
- July 14, 2026: Jazz reported completion, including the tender offer, and stated JIHL’s final ownership percentage. Completion announcement.
Why transaction figures differ
The disclosed percentages refer to different stages and should not be treated as competing descriptions of the final stake. The April offer document described the agreement block and the public offer; the July announcement reported ownership after completion.

The 53.81% agreement block and the offer for up to 6.67% are transaction terms, not the final ownership figure. The completion announcement’s aggregate consideration is approximately PKR 4.55 billion; the earlier agreement-stage figure should not be substituted for that completed-transaction total.

TPL Insurance offers motor, health, fire, property, and other general insurance products through a digital platform, according to Jazz’s announcements. Jazz described it as an AA-rated insurer; that rating is attributable here to the company’s announcement.

For 2025, as of December 31, Jazz reported TPL Insurance’s gross written premium at PKR 5.7 billion and policies issued at more than 277,000. These are company-reported historical figures, not independently verified figures here.
Jazz presented the acquisition as a way to add insurance to its digital financial services portfolio, which includes JazzCash, Mobilink Bank, and FikrFree, and to broaden access to financial protection. Aamir Ibrahim, CEO of JazzWorld, said: “The acquisition of TPL Insurance marks an important step in our mission to build a comprehensive digital services ecosystem that expands financial inclusion in Pakistan.” These are the acquirer’s stated aims; they do not establish what results the acquisition will produce.
