The account is preliminary: Reuters said it could not independently confirm Semafor’s report, and neither outlet established that JetBlue had held talks, received interest or decided to sell. JetBlue declined to comment on internal discussions and said it was focused on its JetForward strategy.
What has been reported about a possible JetBlue sale?
Semafor reported on March 25, 2026, citing people familiar with the matter, that JetBlue had tapped advisers to assess the viability of selling to a rival. It said the company had also scenario-planned how combinations with United, Alaska or Southwest might fare in Washington. Semafor’s report described the work as preliminary and said it could not determine whether JetBlue had discussed a transaction with any airline or received indications of interest.
Reuters repeated the report but explicitly said it could not independently confirm it. JetBlue did not comment on internal discussions. Its public response was that it had made meaningful progress on its multi-year JetForward strategy and was focused on executing it.

How might Washington react to a JetBlue merger?
Any deal would face a transaction-specific review, and the outcome cannot be predicted from the information available. Semafor noted that a merger between two of the six largest U.S. airlines would receive close antitrust scrutiny. The cited sources do not identify a government position on JetBlue’s reported planning or establish how the current administration would decide a hypothetical transaction.
Reviewers would need to assess the actual proposal, including how routes and airport access overlap, how the combination could affect competition, fares and consumer choice, and whether any remedies could address identified concerns. Those are analytical questions, not evidence that a particular deal would be approved or blocked.

What the JetBlue–Spirit case does—and does not—tell us
The closest recent precedent is JetBlue’s proposed $3.8 billion acquisition of Spirit. In January 2024, the U.S. District Court for the District of Massachusetts blocked that transaction. JetBlue announced on March 4, 2024, that it had abandoned the deal. The Justice Department’s case record classifies it as a civil merger and horizontal merger in scheduled passenger air transportation.
The Justice Department argued that the Spirit acquisition would eliminate JetBlue’s main ultra-low-cost competitor and reduce consumer choice. Attorney General Merrick B. Garland said in the department’s March 4, 2024, announcement: “The Justice Department proved in court that a merger between JetBlue and Spirit would have caused tens of millions of travelers to face higher fares and fewer choices.” That statement described the government’s case and the Spirit transaction; it is not a forecast about a possible combination with United, Alaska or Southwest.

The prior ruling makes antitrust scrutiny a material consideration, but it does not determine the outcome of a different deal. A new proposal would have different competitive facts and would require its own review.

JetBlue reported second-quarter 2026 operating revenue of $2.7 billion and an operating loss of $141 million. It attributed the larger operating loss than in the comparable 2025 period primarily to higher operating expenses, especially higher fuel prices. These are company-reported results, not an independent assessment of the strategy.
In its July 28, 2026, earnings release, JetBlue said JetForward had generated $470 million in cumulative incremental EBIT through June and remained on track for an $850 million to $950 million annual incremental EBIT benefit by year-end 2027. The first figure is company-reported progress; the latter is a company target, not an independent forecast. CEO Joanna Geraghty said the second-quarter performance reflected JetForward and that strong customer demand and the company’s actions helped it recover fuel costs more quickly than anticipated.

What to watch if a proposal emerges
There are no confirmed offers or deal terms to compare. If a proposal becomes public, the consequential details will include:
- Route overlap and competition: Which routes and markets would have fewer competing airlines after a combination?
- Fares and choice: What transaction-specific evidence would show how passengers could be affected?
- Airport access and remedies: Would divestitures or other remedies be proposed, and would regulators consider them sufficient?
- Financing: How would the transaction affect the combined company’s debt, cash needs and financial flexibility?
- Regulatory process: Which agencies review the transaction, and what concerns or conditions do they raise?
These questions reflect issues that mattered in the JetBlue–Spirit proceeding, but their application to any other combination would depend on the facts of that transaction. Separately, JetBlue’s second-quarter filing said it was the successful bidder for 22 LaGuardia operating authorizations previously used by Spirit, for $58.5 million. The transfer remained subject to regulatory approval and other conditions, with an October 31, 2026, deadline. That is a slot transaction, not evidence of a corporate sale plan.
