Re:

Is Audible Secretly Owned by Amazon? The Acquisition and What It Means

Amazon owns Audible, but Audible still operates as a distinct audiobook business. Here is the 2008 acquisition timeline, what the legal relationship means, and how accounts, licenses and Prime fit into the picture.

Yes. Amazon owns Audible. Amazon completed the acquisition on March 18, 2008, and Audible became a wholly owned subsidiary. Audible still operates as a distinct audiobook brand, with its own app, website, membership products and customer support, but it is not an independent company outside Amazon’s corporate group.

The acquisition was public, not secret: Amazon announced it and documented the transaction in filings with the U.S. Securities and Exchange Commission (Amazon’s completion announcement).

When did Amazon buy Audible?

The transaction unfolded over several weeks in early 2008:

  1. January 31, 2008: Amazon announced an agreement to acquire Audible.
  2. February 11, 2008: Amazon began a tender offer through AZBC Holdings, Inc., its wholly owned subsidiary.
  3. March 14, 2008: The tender offer closed, with approximately 89.4% of Audible shares represented through tendered and previously held shares.
  4. March 18, 2008: The acquisition was completed.
  5. March 19, 2008: Amazon announced that Audible had become a wholly owned subsidiary.

The historical transaction documents are available in Amazon’s SEC-filed acquisition announcement, Amazon’s tender-offer announcement and Audible’s 2007 Form 10-K filing.

How much did Amazon pay?

Amazon offered $11.50 in cash per Audible share. Contemporary announcements described the overall transaction as approximately $300 million. That figure was an approximate 2008 deal value, not a current valuation or an inflation-adjusted purchase price.

Why does Audible still look independent?

Audible was founded by Don Katz in the mid-1990s and became a publicly traded company in 1999. Its independent pre-acquisition history helps explain why the service retains a separate consumer identity. Audible’s own company history says it “joined the Amazon family” in 2008 (Audible company history).

A subsidiary can have its own brand and operating systems. Audible continues to have:

  • Audible-branded customer-support processes and service policies.
  • Audiobook, podcast, spoken-word and Audible Originals operations.
  • Creator and distribution services such as ACX.
  • A distinct legal name: Audible, Inc.

Those characteristics show operational separation, not separate ownership. The current Audible Conditions of Use identify Audible, Inc. as the service provider, describe Audible as an affiliate of Amazon.com Services LLC, and treat the Audible service as an Amazon service for purposes of Amazon’s terms.

What “wholly owned subsidiary” means

In plain language, Amazon controls the company that owns and operates Audible. Audible can retain its own products, staff structures, branding and customer workflows while Amazon remains the parent company and has ultimate corporate control.

Question Answer
Is Audible a separate brand? Yes.
Does it have its own legal entity? Yes, Audible, Inc.
Is it an independent publicly traded company today? The cited current materials do not support treating it as one.
Is Amazon the parent company? Yes.
Is Audible merely a marketing partner of Amazon? No. That description understates the ownership relationship.

What Amazon owns—and what it does not

Corporate ownership of Audible is different from ownership of every recording in its catalog.

Amazon owns or controls That does not automatically mean Amazon owns
Audible’s corporate business and platform operation Every audiobook copyright
Audible’s brand infrastructure and service Every author’s underlying rights
Corporate control of the subsidiary Every recording’s production rights
The Audible distribution business An unrestricted digital file belonging to each customer

Audible distributes works supplied or licensed by publishers, authors, narrators, studios and other rights holders. Its content license describes customer access as limited, non-exclusive and non-transferable, while reserving rights to licensors and other content providers. Buying an Audible title therefore does not necessarily give you unrestricted ownership of the underlying recording.

How Audible and Amazon accounts connect

Account integration is another reason people assume the companies are the same. Audible supports optional account merging through its desktop website. The documented path is:

  1. Open the Audible desktop website.
  2. Select Account details.
  3. Select Merge now.
  4. Enter your Audible password and Amazon account information.
  5. Choose a payment method.
  6. Select Finish.
  7. Use Amazon credentials for later sign-ins.

Audible says a merged setup can share payment information and provide certain Kindle and family-library features (account-merging instructions). Account status still varies by marketplace, legacy account arrangement and billing channel. For example, an app-store subscription may be billed through Apple or Google rather than directly through Audible or Amazon. Merging accounts does not make every Audible and Amazon product subject to identical terms.

Is Audible included with Amazon Prime?

Amazon’s ownership does not, by itself, prove that Audible membership is included with Prime. Prime membership, Audible plans, promotional trials and title-specific access are separate questions. Benefits and eligibility can change by country, marketplace, billing channel and promotion.

For the current U.S. offer, check Audible’s membership-benefits page directly: https://www.audible.com/ep/memberbenefits. Do not assume that a Prime subscription supplies Audible credits or a full Audible membership unless the live offer expressly says so.

Amazon’s corporate ownership also means Audible is not legally isolated from Amazon’s broader policy framework. Audible’s conditions reference Amazon’s Conditions of Use, Privacy Notice and interest-based advertising policy, while Audible-specific license and membership terms govern many day-to-day audiobook questions.

What the ownership means for listeners and creators

For listeners

  • You may encounter Amazon-linked sign-in, payment and device features, but Audible remains a separate service interface.
  • Your access to purchased titles is governed by Audible’s license terms rather than an unrestricted-file ownership model.
  • Subscription benefits, credits, refunds and account transfers depend on the applicable marketplace and current terms.
  • Canceling or changing one service should be checked against its specific terms; ownership alone does not establish that Prime and Audible subscriptions rise or fall together.

For authors and publishers

  • Audible is an Amazon-owned distribution and audio-production business, while rights agreements determine who owns and licenses each recording.
  • ACX and other Audible operations should be evaluated through their individual contract, royalty and distribution terms, not inferred solely from Amazon’s parent-company status.

Bottom line

Audible is not secretly owned by Amazon. Amazon publicly acquired it in 2008, and Audible has remained an Amazon-owned subsidiary while preserving a distinct audiobook brand and operating model. The key distinctions are simple: Amazon owns the company, rights holders commonly own the underlying recordings, and Audible access is governed by licenses and service terms.
