IPO grey market premium (GMP) is an informal indication of the price at which IPO shares are said to trade before their exchange listing. It is not an official quote, a forecast endorsed by SEBI, or a promise of listing gains. Investors can use it as a clue about sentiment, but should assess the issuer through its offer documents and treat the eventual exchange-traded price as uncertain.

What is GMP in an IPO?

In India, IPO GMP means the grey market premium: the reported difference between an IPO share’s grey-market price and its offer price. The grey market is informal; a GMP figure is market chatter or an indication of reported transactions, not a price published by the issuer or an exchange.

SEBI discussed the phenomenon and a commonly used calculation in its order in the matter of M/s Veerkrupa Jewellers Limited. That discussion does not make GMP an official SEBI measure or establish the legal status of every kind of grey-market transaction.

How is IPO GMP calculated?

SEBI’s order states: “Normally, GMP = {Grey Market Price} – {IPO Upper Price Band}.” This is a calculation convention described in the order, not a regulator-endorsed method for predicting listing prices.

For a hypothetical arithmetic illustration, if an IPO’s upper price band is ₹100 and its reported grey-market price is ₹115, the difference is ₹15. The calculation alone does not mean the shares will list at ₹115, and these example figures are not a live quote or forecast.

What can a GMP figure indicate?

A reported premium may reflect demand and supply, investor sentiment, company fundamentals, and perceptions of whether the IPO is priced attractively. SEBI’s order describes these as commonly perceived factors, but adds: “These factors are not sacrosanct and they do not come from any regulatory mandate.” A GMP is therefore best read as an informal sentiment signal—not as a standardized measure with a fixed relationship to listing performance.

Does a high GMP guarantee listing gains?

No. A high reported GMP cannot guarantee that an investor will make a profit, or even that the shares will list above the issue price. The quote is informal, may change, and does not determine the price at which shares trade after listing.

SEBI’s standard IPO disclosure says: “No assurance can be given regarding an active or sustained trading in the equity shares of the issuer nor regarding the price at which the equity shares will be traded after listing.” The SEBI ICDR regulations also make clear that the issue price should not be taken as indicative of the market price after listing.

Be cautious when anyone presents GMP as proof of assured, guaranteed, or near-certain returns. SEBI’s investor caution guidance advises skepticism toward such claims and says investors should seek advice from entities registered under its Investment Adviser regulations.

Can grey market premium predict the listing price?

GMP can be one informal indication of expectations before listing, but it is not a dependable listing-price forecast. The available official material establishes neither a reliable accuracy rate nor how often listing prices match GMP-based calculations. There is no basis here for assigning a percentage chance of success or claiming that a particular premium predicts a particular listing gain.

Keep three figures distinct: the IPO’s official issue price, an informal grey-market indication, and the price that emerges from trading on the exchange after listing. The GMP-derived sum is not an “expected” or guaranteed listing price. Actual post-listing trading—not a pre-listing indication—establishes the market price.

How should retail investors use GMP?

  1. Confirm what the number means. Check whether the quoted figure is described as a premium and what offer-price reference is being used. Treat it as an informal claim, not an exchange or issuer quote.
  2. Read the issuer’s offer documents. Use the prospectus and other official disclosures to understand the business, risks, financial information, and use of proceeds. GMP cannot replace that analysis.
  3. Separate sentiment from investment merit. A reported premium may describe expectations, but it does not establish the company’s value, future results, or whether the offer price is suitable for you.
  4. Plan for uncertainty after listing. Do not base a decision on a presumed listing gain; SEBI’s disclosure warns that neither sustained trading nor a particular post-listing price is assured.
  5. Question certainty claims. Treat promises of guaranteed or near-certain returns as a warning sign, and consult an appropriately SEBI-registered investment adviser if you need personalized advice.
