Intel and TSMC’s Reported U.S. Fab Deal: What Happened With Trump’s Tariff Strategy

TSMC was reportedly asked to help operate or invest in Intel’s U.S. factories, but no deal was finalized. Here’s how tariffs, ownership and technology concerns shaped the proposal.

Short answer: Intel and TSMC did not publicly complete a takeover or merger. Reports in February and March 2025 described a proposal for TSMC to help operate or invest in Intel’s U.S. factories, potentially through a U.S.-based joint venture. The idea could have reduced exposure to tariffs on imported chips, but TSMC later said it was not discussing a joint venture, technology licensing, technology transfer or technology sharing with another company.

What was reportedly proposed?

On February 14, 2025, Bloomberg reported that TSMC was considering a role in operating Intel’s U.S. semiconductor factories after Trump administration officials raised the idea. The report did not describe an outright purchase of Intel Corporation. It described possible operating control, a significant investment or participation in a U.S.-based joint entity.

Bloomberg’s account is available at Bloomberg Law. Later coverage added possible participation by Nvidia, AMD and Broadcom, but those companies’ involvement was never confirmed.

Why the Trump administration was involved

The administration was pushing semiconductor companies to manufacture more in the United States while threatening tariffs on foreign-made chips. Officials were also concerned about Intel’s financial and strategic position as it tried to build Intel Foundry into a viable contract-manufacturing business.

A TSMC-backed arrangement offered a politically attractive combination: Intel’s American factories could remain active, TSMC could expand its U.S. presence, and outside chip designers could potentially provide customer demand. Reuters reporting carried by Investing.com described administration discussions with TSMC and the White House’s focus on Intel’s condition: Investing.com.

But Washington drew a line between foreign investment and foreign control. A White House official said the administration supported overseas companies building or investing in U.S. factories but might not support a foreign company operating Intel’s fabs. The official left open a U.S.-based joint entity. Reuters coverage is available at Investing.com.

How a U.S. fab could reduce tariff exposure

Producing a chip in the United States can reduce exposure to import duties on a finished semiconductor sold domestically. It could also give TSMC and its customers a stronger argument for favorable treatment in negotiations with Washington.

  • Domestic origin: A chip manufactured in the United States generally would not enter the country as an imported finished semiconductor.
  • Supply-chain diversification: U.S. customers could source more production domestically instead of importing every chip from Taiwan or another Asian manufacturing site.
  • Political leverage: A large American investment could support requests for exemptions or less punitive treatment.

That would not make every product tariff-free. Treatment depends on the applicable tariff order, country-of-origin rules and whether components or partially processed products crossed borders. Imported equipment, materials and chips still made overseas could remain exposed. The White House’s April 2025 tariff clarification listed semiconductor-related exceptions, but it did not eliminate the possibility of separate, targeted chip tariffs: White House.

What Intel could have gained

Intel was investing heavily in new factories while trying to attract external customers to Intel Foundry. A TSMC relationship could have provided capital, operating expertise and a larger customer pipeline without requiring Intel to finance and manage the entire expansion alone.

The trade-off would have been strategic dependence. Intel could have faced difficult decisions over control of process development, customer relationships, capacity allocation and the future identity of its manufacturing business.

What TSMC could have gained

TSMC could have obtained additional U.S. capacity using existing Intel infrastructure, employees and industrial sites rather than building every facility from scratch. A larger American footprint could also have eased political pressure over TSMC’s concentration of advanced manufacturing in Taiwan and put production closer to major U.S. customers.

TSMC separately announced an additional $100 billion plan for U.S. semiconductor manufacturing in March 2025, including five additional facilities. That was a real investment announcement, but it was not proof of an Intel-fab joint venture. See the Associated Press report at AP News.

Why the proposal was difficult

National security and ownership

Intel supplies government and defense-related customers. Allowing a foreign company to operate strategic U.S. fabs could raise national-security and foreign-investment concerns even if the buildings and workers remained in America.

Technology boundaries

TSMC would have needed to protect its proprietary manufacturing methods while helping Intel improve execution. TSMC’s methods also would not automatically transfer to Intel’s equipment, process-design systems or production culture.

Customer neutrality

Nvidia, AMD and other fabless chip companies might hesitate to place sensitive designs in a facility closely tied to a rival or to a partner with competing commercial interests.

Economics and capacity

U.S. production can reduce tariff exposure but often carries higher construction and operating costs. A fab still needs committed customer volume, substantial capital and competitive yields. A change in ownership alone would not solve those problems.

What TSMC ultimately said

On April 16–17, 2025, TSMC Chairman and CEO C.C. Wei said the company was not discussing a joint venture, technology licensing, technology transfer or technology-sharing arrangement with another company. Bloomberg reported the statement at Bloomberg.

That was the clearest public correction to the most dramatic version of the story. It does not establish that no private conversations ever occurred, but it does mean there was no publicly confirmed agreement for TSMC to take over Intel’s fabs or share its proprietary process technology.

Timeline of the episode

  1. February 14, 2025: Bloomberg reported that TSMC was considering operating Intel’s U.S. factories after a request from Trump administration officials.
  2. March 3, 2025: TSMC announced a separate additional $100 billion U.S. investment plan.
  3. April 16–17, 2025: C.C. Wei said TSMC was not discussing a joint venture or technology-sharing arrangement with another company.

What readers should conclude

The “big move” was a reported attempt to align three pressures: Washington’s demand for domestic chip production, Intel’s need for capital and customers, and TSMC’s need to expand in the U.S. and manage tariff risk. It was not a confirmed merger, takeover or technology-transfer agreement.

The proposal might have reduced tariffs on some chips made in the United States, but it could not guarantee blanket tariff immunity. The public record supports describing the Intel-TSMC arrangement as preliminary discussions that were never publicly finalized.
