No publicly confirmed Intel–TSMC joint venture has been announced. In 2025, reports described preliminary discussions about TSMC helping operate some of Intel’s U.S. chipmaking operations, potentially alongside investments from major chip designers. TSMC later said it was not engaged in joint-venture discussions. The distinction matters: a reported proposal is not a signed deal, and the companies’ subsequent cooperation does not establish one.
What was proposed—and what was not
Reuters reported in March 2025 that TSMC had pitched a possible consortium to operate Intel’s foundry manufacturing business. Nvidia, AMD and Broadcom were reportedly approached about taking stakes, with Qualcomm also mentioned in reporting. Under the concept described, TSMC could operate the business while holding no more than 50%. These details came from people familiar with the proposal, not a public transaction announcement. This was not simply a plan for Intel and TSMC to build a new factory together. The reported idea centered on operating existing Intel manufacturing assets and potentially changing how Intel Foundry was financed and managed. The proposed ownership, participants, governance, asset scope and financial terms were not publicly finalized.
On April 3, 2025, a separate Reuters report said Intel and TSMC had discussed a preliminary agreement to form a joint venture to operate Intel factories. It did not report a signed transaction. Reuters reporting reproduced by Investing.com

What happened after the reports
At TSMC’s April 17, 2025 earnings call, Chairman and CEO C.C. Wei said the company was not engaged in discussions with other companies about a joint venture, technology licensing, or technology transfer and sharing. On April 24, Intel CEO Lip-Bu Tan said he had met Wei to discuss areas for collaboration. The meeting confirms executive contact, but not an agreement to create a joint venture. Reuters reporting reproduced by Investing.com

Intel’s 2025 Form 10-K, filed in 2026, describes TSMC as a possible important third-party foundry for products beyond Intel 18A and Intel 18A-P, while stating that Intel has no long-term contract with TSMC. Why the idea attracted attention
Intel needed customers for its foundry ambitions
Intel has been investing in its own manufacturing technology while trying to build Intel Foundry into a business serving outside customers. Its 2025 filing says Intel 18A entered high-volume manufacturing, but also connects the continuation of future leading-edge nodes to winning significant external foundry customers. Intel warns that it may pause or discontinue Intel 14A and later nodes if it cannot secure that demand; in that scenario, it could rely more on third-party foundries, particularly TSMC. That makes the underlying business question larger than whether one proposed venture advances: can Intel attract enough customers to justify the cost and risk of developing future process nodes and operating a large manufacturing network?
TSMC had its own U.S. expansion plan
In March 2025, TSMC announced an additional planned U.S. investment of $100 billion, bringing its planned U.S. investment to $165 billion. The plan included three additional fabs, two advanced packaging facilities and an R&D center. This was TSMC’s own expansion plan, not an Intel joint venture. TSMC’s Arizona materials describe a Phoenix manufacturing and technology cluster. Its 2025 annual report says its Arizona fab began volume production of 4nm technology in the fourth quarter of 2024. TSMC’s manufacturing network exceeded 17 million 12-inch-equivalent wafers of annual capacity in 2025, according to the company. Washington had a domestic-capacity objective
Reuters sources described the proposal as following a Trump administration request for TSMC to help turn around Intel’s manufacturing operations. That is reported policy pressure, not a publicly announced government agreement. The broader policy tension is clear: expanding U.S. chip production may improve supply-chain resilience, but placing a foreign company in an operating or ownership role at strategically important U.S. factories raises questions about control, technology access, subsidies and national security.

Why a deal would have been difficult
- Control and national security: A foreign company operating Intel factories could conflict with U.S. political goals or raise concerns about facilities serving sensitive government work.
- Technology separation: Any arrangement would need to protect Intel process technology, product designs, customer information and government-related manufacturing. Factory operation is distinct from licensing or transferring TSMC technology.
- Customer neutrality: TSMC manufactures for many companies that compete with Intel. Intel Foundry would need to persuade customers that their designs and business information would remain protected.
- Capital and economics: Leading-edge fabs require substantial investment and high utilization. A new ownership structure would not by itself fix weak demand, yield problems, delayed ramps or high costs.
- Government support: Intel facilities have received or sought U.S. support. Any ownership or operating change would have to account for subsidy conditions, national-security requirements and restrictions on technology or capacity.
- Governance: A minority stake could restrict TSMC’s operational authority; a controlling stake could be politically unacceptable. The reported ownership ceiling did not resolve how decisions would be made.
- Different business models: Intel designs chips as well as seeking outside foundry customers; TSMC primarily manufactures for customers. Their incentives would not always align.
Which factories were in scope?
The reports referred broadly to Intel factories or its foundry business, without publishing a definitive asset list. Intel’s filing identifies key production fabs in Oregon, Arizona, Ireland and Israel; it also says construction at the Ohio facility was slowed and planned expansions in Germany and Poland were discontinued. What the story means for Intel and TSMC
For Intel, the strategic issue is whether it can secure outside customers and sustain its own process roadmap, or whether it will rely more on external manufacturers for some products. Intel’s filing describes both continued Intel 18A production and the possibility of greater third-party dependence beyond its current nodes; it does not say Intel is abandoning manufacturing.
For TSMC, U.S. growth can proceed through its announced Arizona investment without taking over Intel facilities. A partnership might have offered a route to use Intel assets and broaden domestic capacity, but it would also have imposed operational, political and customer-trust challenges distinct from expanding TSMC’s own site.
Status: no publicly confirmed joint venture
As of the evidence available through August 18, 2026, the accurate description is a reported proposal and preliminary discussions, followed by TSMC’s statement that it was not engaged in joint-venture, licensing or technology-transfer discussions. Intel later disclosed possible reliance on TSMC as a foundry, but no completed Intel–TSMC manufacturing joint venture is publicly confirmed in the cited record.
