Infor’s Workbrain acquisition was announced in April 2007 and completed on June 1 of that year. The announced terms were C$12.50 per share in cash, valuing the fully diluted transaction at approximately C$227 million—not necessarily US$227 million. Workbrain’s workforce-management software continued under Infor ownership and is now part of the company’s Infor HCM Workforce Management portfolio.
What Infor agreed to buy
Workbrain Corporation was a Canadian enterprise-software company focused on workforce management: systems that help large employers track work time, build schedules, manage absences, plan staffing, and report on labor performance. Infor Global Solutions European Finance, S.A.R.L. agreed to acquire all of Workbrain’s outstanding common shares through a statutory plan of arrangement, a legal structure used for the acquisition of a Canadian company. Workbrain’s board unanimously approved the agreement. The transaction announcement described the offer and its conditions.
The announcement was not the closing. At the time, the companies expected the deal to close in June, subject to shareholder and regulatory approvals. Infor later reported that it completed the acquisition on June 1, 2007. Infor’s closing announcement confirms the completion date.
Deal terms: C$12.50 per share in cash
| Term | Detail |
|---|---|
| Offer price | C$12.50 per Workbrain share |
| Consideration | Cash |
| Shares covered | All outstanding common shares |
| Announced transaction value | Approximately C$227 million on a fully diluted basis |
| Premium | 25.6% over Workbrain’s March 30, 2007 volume-weighted average share price; approximately 40% over the preceding 30 trading days’ volume-weighted average price |
| Board action | Unanimously approved by Workbrain’s board |
| Expected closing at announcement | June 2007 |
| Actual closing | June 1, 2007 |
The currency matters. The transaction announcement specified Canadian dollars, and contemporary coverage sometimes rendered the headline as “$227 million” without making that denomination prominent. The offer was C$12.50 per share and the stated fully diluted value was approximately C$227 million; readers should not silently convert that figure into US dollars. Contemporary Spanish-language coverage also explicitly identifies the per-share amount as Canadian dollars.

The C$227 million figure is the announced fully diluted transaction value. The cited announcement and closing report establish the terms and completion, but do not provide a detailed reconciliation of the final cash settlement or purchase accounting.
Why Workbrain fit Infor’s plans
Infor was expanding its enterprise-software portfolio through acquisitions. Workbrain gave it a more substantial workforce-management offering within human capital management (HCM), extending beyond conventional employee records and HR administration into the daily mechanics of staffing operations: who works, when they work, whether a shift is covered, and how labor demand is planned.

Infor’s stated rationale centered on adding Workbrain’s technology to its HCM lineup and making the product a core capability. Period reporting said Workbrain was to become the “hub” of Infor’s HCM Center of Excellence. Workbrain, in turn, could gain access to Infor’s broader customer base and distribution network. These were strategic aims, not proof by themselves of realized cross-selling or a particular financial return. eWeek’s period coverage reported the HCM Center of Excellence plan; InfoWorld’s coverage described the product fit.
What Workbrain’s software did
Workbrain addressed enterprise workforce management rather than general-purpose HR alone. Its capabilities included web-based timekeeping and attendance, employee scheduling, absence and leave management, workforce planning, labor forecasting, schedule compliance, employee and manager self-service, and workforce-performance reporting. Those tools were relevant to organizations with large or complex frontline operations, where schedules, local rules, and labor costs interact.

InfoWorld identified British Airways, General Mills, and Target as Workbrain customers in its 2007 reporting. Those names describe customers cited at the time; they should not be read as confirmation of current customer relationships.
From Workbrain to Infor Workforce Management
The acquisition did not make the product lineage vanish. Infor’s release-history documentation traces Workbrain versions into later Infor workforce-management releases. Infor says the Workbrain product name was replaced by Infor HCM Workforce Management, while “Workbrain Intelligence” became “Workforce Performance.” The documentation provides a useful bridge for organizations researching older installations or trying to identify the modern name associated with the product family. Infor’s naming and release notes describe the renaming, and its release-history index preserves the product trail.

Infor announced an early post-acquisition enhancement in September 2007 as Infor HCM Workforce Management 5.0 Feature Pack 2, formerly Workbrain 5.0. Later, Infor described Workforce Management 7.0 as continuing the product lineage that began with the 2007 acquisition. This history shows continuity of the software family, not that every feature or deployment model stayed unchanged. The 2007 enhancement announcement and Infor’s later product-history account document those milestones.
