Hyperscale Data said on September 22, 2026, that it was taking steps to form Patriot BTC, a proposed subsidiary for its Bitcoin-mining operations and related assets. The plan could separate mining from the company’s Michigan AI data-center strategy, but Patriot BTC had not been formed and no transaction or separation had been approved when the company announced the proposal.
What is Patriot BTC?
Patriot BTC is the name Hyperscale Data proposed for a subsidiary focused on cryptocurrency mining and related assets. The company said an initial contribution could include its Montana data center and related infrastructure, along with Bitcoin miners and mining equipment. The announcement did not provide a final list of assets or liabilities to be transferred.

Hyperscale Data’s stated rationale is to give mining and AI data-center operations distinct management attention, capital allocation and operating mandates. It said Patriot BTC’s management could focus on mining economics, fleet performance and power costs, while Alliance Cloud Services and Sentinum management could focus on financing and developing the Michigan AI data center. Is Patriot BTC a spin-off or public company?
No completed spin-off or public listing was announced. Hyperscale Data said management may recommend that its board pursue a transaction to position Patriot BTC within a publicly traded entity, by a separation or another structure. As of the September 22 announcement, no specific structure had been selected or approved, and the subsidiary itself had not been formed. Any transaction would require board approval and would be subject to legal, regulatory, market, tax, accounting, capitalization and other conditions. The announcement supplied no valuation, projected hashrate, expected Bitcoin output or quantified savings from a separation. Investors therefore cannot use it to estimate Patriot BTC’s prospective operating value or the terms shareholders might receive.
Why is Hyperscale Data considering a separation?
The proposed distinction reflects two different business priorities: digital-asset mining and AI data-center development. Mining performance depends on factors such as equipment productivity and electricity costs; AI data-center development involves customer deployments, financing and infrastructure investment. Hyperscale Data said separate mandates could make each business’s performance more transparent and allow management to focus on its respective priorities. The announcement does not establish that a new structure would improve results.

What is known about the Montana mining operation?
A June 10, 2025 company announcement filed as an SEC exhibit described a Montana hosting agreement providing access to approximately 20 MW of energy capacity. Sentinum anticipated deploying approximately 6,800 Bitmain S19j Pro Antminers. The provider could curtail the facility’s electrical load during periods of high utility-grid demand, and the company said net profits from energy sales would be split equally. These are historical agreement terms and deployment expectations—not confirmation of present capacity, fleet size, or realized mining economics. [c004]
How does the proposal fit the company’s financial and operating position?
Hyperscale Data’s latest located SEC filing described its wholly owned subsidiary Sentinum as operating a digital-asset-mining data center and providing AI colocation and hosting services. The filing said Michigan power capacity was expected to be allocated to customer AI deployments, with Bitcoin mining at that location winding down.

The same filing said available cash and liquidity sources were not expected to cover anticipated operating requirements, obligations and planned capital spending over the next twelve months. It also said substantial doubt about the company’s ability to continue as a going concern had not been alleviated. Those disclosures make financing and execution important considerations, but do not establish that the Patriot BTC proposal will fail. [c003]

- Whether Patriot BTC remains a subsidiary or becomes part of a separation or other transaction.
- Which assets and liabilities would be contributed.
- How the business would be capitalized and funded.
- How management and governance would be allocated.
- Whether the entity would have public-market, reporting and trading status.
- What approvals, tax and accounting effects, and timetable would apply.
The proposal is therefore a possible corporate restructuring, not a defined transaction investors can yet evaluate on terms.
